The Owned Intellectual Property and the Licensed Intellectual Property include all of the Intellectual Property used in the Ordinary Course of Business of the Sellers. The Owned Intellectual Property and, to Sellers’ Knowledge, {W5977534.1} the Licensed Intellectual Property, are subsisting, valid and enforceable, and have not been adjudged invalid or unenforceable in whole or part.
