Common use of Supplements and Updates Clause in Contracts

Supplements and Updates. Buyer shall promptly deliver to the Seller and Municipality any supplemental information updating the information set forth in the representations and warranties set forth in Article V of this Agreement so that such representations and warranties as supplemented by such information will be true and correct as of the Closing Date (or such other date as provided in such representations and warranties) as if then made. At least three (3) Business Days prior to the Closing Date, Buyer shall advise the Seller and Municipality of any facts which would constitute a breach of a representation or warranty as of the date made or a default in a covenant contained herein.
