Supply of Raw Materials. Impax shall be responsible for procuring, at its own expense, the supply of all Raw Materials and Active Pharmaceutical Ingredient necessary for the Manufacture of Product in accordance with this Agreement. However, Schering shall have the right to supply or procure the supply of Active Pharmaceutical Ingredient at the fixed price to Impax set forth in Exhibit 3.1.
Supply of Raw Materials. (a) AMYLIN shall supply CP, free of charge, freight and duties prepaid and with transportation insurance paid by AMYLIN with the amounts of Active Raw Material sufficient to enable CP to manufacture the quantities ordered by AMYLIN of Pramlintide Injection Product and AMYLIN shall ensure that such Active Raw Material is supplied sufficiently in advance of its use by CP that CP can comply with its obligations under this Agreement. Each shipment of Active Raw Material will be accompanied by a certificate of analysis indicating the peptide content or pramlintide content of such Active Raw Material and shall be properly packaged. CP will verify the quantity and identity of Active Raw Material according to methods approved by AMYLIN and shall inspect Active Raw Material in accordance with CP inspection procedures for incoming materials. CP shall inform AMYLIN within fifteen (15) working days of receipt of any discrepancies in quantity or identity testing of Active Raw Material discovered by CP or of any damage to the Active Raw Material received (e.g., damaged or cracked containers). Any rejected Active Raw Material will be returned at AMYLIN's expense and direction. AMYLIN shall notify CP annually of the approximate replacement cost of the Active Raw Material.
(b) CP will order all Components and Excipients sufficiently in advance of their use by CP from vendors mutually agreed on by AMYLIN and CP. CP will not change the vendors of, or the acceptance criteria for, such Components and Excipients without the prior written approval of AMYLIN. CP will inspect the Components and Excipients in accordance with CP's inspection procedures for incoming materials.
(c) CP shall report monthly to AMYLIN on the levels of stock of Active Raw Material held by CP.
Supply of Raw Materials. 2.1 Except as provided in Sections 2.2, WPSC agrees to supply and sell to OCC, and OCC agrees to purchase from WPSC, OCC's requirements for Raw Materials up to 230,000 net tons in any calendar year.
2.2 If WPSC, whether or not due to Force Majeure, fails or would in OCC's reasonable judgment be unable (a) to supply Raw Materials in accordance with the quality and other specifications therefor furnished by OCC, (b) to deliver Raw Materials in accordance with the delivery schedule therefor, or (c) to supply Raw Materials which OCC requires, or if WPSC and OCC after negotiation, fail to agree at least 45 days prior to the first day of a calendar quarter on the Purchase Price for any Raw Materials to be supplied by WPSC to OCC during such quarter, then OCC may, in its discretion and as its sole remedy, purchase such Raw Materials from persons other than WPSC.
Supply of Raw Materials. Until the earlier of (i) the end of the Post-Installation Period; or (ii) the date when a supplier reasonably acceptable to Medtronic commences delivery to Medtronic of its requirements of such raw material or Accessory related to the Field of Use Bioabsorbable Implants pursuant to an agreement reasonably acceptable to Medtronic, MacroPore shall, or shall cause its suppliers to, provide Medtronic with such raw material or Accessory at MacroPore's cost, including shipping and handling costs actually incurred; provided that Medtronic shall provide MacroPore non-cancelable purchase orders recognizing that lead times may be as much as four months, or, as otherwise required by MacroPore's supplier(s). MacroPore further agrees that it shall use commercially reasonable efforts to keep in effect all supply agreements between MacroPore and its suppliers, both before and during the period in which MacroPore is required to supply Medtronic with its raw material and Accessories requirements hereunder. MacroPore provides no warranty for the raw materials and Accessories supplied hereunder, except for and only to the extent of that specific warranty, if any, provided to MacroPore by MacroPore's supplier.
Supply of Raw Materials. All Raw Materials supplied by Medeva and used in Manufacture will comply with the Technical Agreement and the Specifications;

Until the earlier of 12 months from the Closing Date; or (ii) the date when a supplier reasonably acceptable to Medicis commences delivery to Medicis of its requirements of such raw material related to the Field of Use Business pursuant to an agreement reasonably acceptable to Medicis, MacroPore shall, or shall cause its suppliers to, provide Medicis with such raw material at MacroPore’s cost, including shipping and handling costs actually incurred; provided that Medicis shall provide MacroPore non-cancelable purchase orders recognizing that lead times may be as much as four months, or, as otherwise required by MacroPore’s supplier(s). MacroPore further agrees that it shall use commercially reasonable efforts to keep in effect all supply agreements between MacroPore and its suppliers, both before and during the period in which MacroPore is required to supply Medicis with its raw material requirements hereunder. MacroPore provides no warranty for the raw materials supplied hereunder, except for and only to the extent of that specific warranty, if any, actually provided to MacroPore by MacroPore’s supplier. Payment terms shall be those specified in section 5.6.2.
Supply of Raw Materials. ENZO shall supply to CIL and CIL shall purchase exclusively from ENZO (after the MANUFACTURING TRANSITION PERIOD) such quantities of the RAW MATERIALS as CIL may order in accordance with this Agreement.

Supply of Raw Materials. (a) During the term of this Agreement and in consideration for the payment by ▇▇▇▇▇▇ of the total monies due as determined in accordance with the provisions hereinafter, CHIRON agrees to supply ▇▇▇▇▇▇ with such quantities of Antigen and Antibody as ▇▇▇▇▇▇ requires, subject to the provisions of this Article IV, for the development and manufacture of Product, and subject to the terms of Article III and this Article IV and during the term of this Agreement, ▇▇▇▇▇▇ agrees to obtain solely from CHIRON all Antigen and Antibody required by ▇▇▇▇▇▇ and its Affiliates, directly or indirectly, for the manufacture of Product.
Supply of Raw Materials. 13.01 Materials Supply Agreement MC shall have the right to supply super absorbent polymer (SAP), to SSC with competitive quality, quantity, price, service and free of patent infringement. For this purpose, separate "purchase agreement of raw materials" shall be executed between MC and SSC substantially in the form and substance as EXHIBIT H attached hereto respectively.
