Supply Requirements. 2.1 During the term of this Agreement, Flextronics shall supply TheraSense with those quantities of the Product ordered by TheraSense in a Purchase Order submitted to Flextronics pursuant to this Agreement. The Product shall comply with the Specifications and all jointly developed Quality Plans 2.2 In consideration for the services and support provided by Flextronics during the development of the Messenger and Freestyle product lines, the projected business volume offered to Flextronics hereunder, and competitive pricing offered to TheraSense hereunder. TheraSense agrees, to purchase all its Manufacturing Services for the Messenger and Freestyle product lines exclusively from Flextronics for a period of five (5) years from the Effective Date. TheraSense shall not be obligated hereunder if the Products fail to conform in all respects to the Specifications, this Agreement is terminated pursuant to Section 15, or, in market based benchmarking, Flextronics fails to maintain competitive pricing to warrant such exclusivity. Flextronics and TheraSense shall work jointly to develop a Quality Plan for Flextronics' manufacturing line with the ultimate goal to achieve within reasonable economic limits a process capability index (Cpk) of 1.67 or higher on all key parameters of the Product Specifications. 2.3 Flextronics shall share process data with TheraSense by submitting Certificates of Analysis that include process control charts, for every Product shipment.

Supply Requirements. 2.1 During the term of this Agreement, Facet shall supply TheraSense with those quantities of the Products ordered by TheraSense in a Purchase Order submitted to Facet pursuant to this Agreement. The Products shall comply with the Specifications and all jointly developed quality plans. 2.2 In consideration of the services and support provided by Facet under the Cooperative Development Agreement, TheraSense agrees to purchase the Products exclusively from Facet for a period of six (6) years from the Effective Date. 2.3 Facet and TheraSense shall work jointly to develop a quality plan for Facet's manufacturing line with the ultimate goal to achieve within reasonable economic limits a process capability index (Cpk) of 1.67 or higher on all key parameters of the Product Specifications. 2.4 Facet agrees to implement process improvements and process validations using the TheraSense process control methodology as outlined below. TheraSense will provide appropriate support and training to support this process. Supply Requirements. Subject to the terms and conditions of this Agreement, during the Term, Supplier shall: (a) manufacture and supply Product in such quantities as may be required by each Distributor and/or member of Buyer's System to enable them to meet the Product requirements and inventory needs of Buyer's System; and (b) manufacture and supply Product in such quantities as may be required by each Distributor to maintain an adequate level of Product inventory as provided in this Agreement.
Supply Requirements. 1.1. TLM agrees to purchase from SOERING and SOERING agrees to sell to TLM the Products on the terms set forth in this Agreement. (a) SOERING shall deliver to TLM, for TLM’s inspection, a reasonable number of preproduction quality samples of each of the Products (“Inspection Samples”) as agreed upon by the parties, which conform to the specifications, consisting in the case of the Products designated as the Generator Product thereon (the “Generator Product”) of the relevant manufacturing specifications and subsidiary detail specifications and drawings agreed upon by TLM and SOERING (“Specifications”), including reports documenting that the Products have been inspected and tested. (b) TLM shall provide to SOERING any objections it has concerning the conformance of the Inspection Samples to the Specifications within thirty (30) days after receipt of the Inspection Samples (the “Inspection Period”) and SOERING shall make such changes to Products prior to production. If no objections are identified by TLM during the Inspection Period, the Inspection Samples shall be deemed acceptable by TLM. The Inspection Period for the Inspection Samples of the initial Products covered by this Agreement (that are listed in Schedule A on the Effective Date) shall be known as the “Initial Inspection Period”. 1.3. On or prior to the end of the Initial Inspection Period, TLM shall deliver to SOERING a forecast (“Forecast”) of TLM’s requirements for Products during the initial twelve-month period after the Initial Inspection Period as listed in attached Schedule C. On or before the last day of each month after the Initial Inspection Period and during the term of this Agreement, TLM shall deliver to SOERING a six-month rolling Forecast of TLM’s requirements for Products. Each forecast shall specify the quantities of each Product and the projected shipment dates therefor. The first three months of the initial six-month Forecast shall represent TLM’s binding purchase order for the quantities of Products specified therein. For each six-month rolling Forecast thereafter, the third month of such rolling Forecast shall be TLM’s binding purchase order for the quantities specified therein.
