Support Documents. (a) The provisions of each of the Support Documents (and the actions contemplated to be taken thereunder) are effective to create in favor of the Agent for the benefit of the Banks, a legal, valid and enforceable (i) guaranty of the obligations described therein except as limited by bankruptcy, insolvency and similar laws affecting the enforcement of creditors' rights generally and equitable principles of general application and (ii) duly perfected pledge of all ownership interest (other than directors' qualifying shares) in the Subsidiaries described in Schedule IV, except for the Support Documents (or the absence thereof) of such Subsidiaries (other than any Company) such that, after the exclusion of such Subsidiaries from the provisions of this Section 6.11(a), this Section 6.11(a) would remain true and correct for the Subsidiaries to which, together with the Companies, is attributable not less than 85% of each of the consolidated revenues and the consolidated assets of Danka PLC and its Subsidiaries determined as of the end of the most recently ended fiscal year both before and after giving effect to such exclusion.
(b) All representations and warranties of such Company's Subsidiaries contained in the Support Documents are true and correct in all material respects.

As part of the Services, PDI shall provide you with access to instructive clinical materials which are only allowed to be used only by Astym-certified clinicians; PDI may also provide marketing and practice support materials (collectively referred to as the "Documentation"). PDI grants you a limited, nonexclusive right to use the Documentation, and you agree to not copy, distribute, alter, revise, transfer, reformat or sell any clinical Documentation. You shall immediately cease use of and return all Documentation to PDI at the termination of this Agreement.

Support Documents. (a) The Operator shall provide:
(i) the Guarantee from the Guarantor; and
(ii) the Performance Bond from an Acceptable Entity, and, in each case,
(A) in the case of the Guarantor or the Acceptable Entity, in respect of which no Insolvency Event has occurred or occurs for so long as the relevant Support Document is required to be in full force and effect in accordance with clause 8.5(b); and
(B) which otherwise satisfies the requirements of this Contract.
(b) Each of the Support Documents shall be, and the Operator shall procure that each Support Document, is in full force and effect, and capable of enforcement at least:
(i) in the case of the Guarantee, until the day after all obligations of the Operator under the Project Documents to NTA and TII are performed and discharged; and
(ii) in the case of the Performance Bond, until the day falling one hundred and eighty (180) days after the applicable Expiry Date.
