Surrender of Subleased Premises. (a) Upon the expiration or other termination of the term, Subtenant shall (i) quit and surrender to Sublessor the Subleased Premises, broom clean, in good order and condition, ordinary wear and tear and damage by casualty excepted, and (ii) remove all of its property as herein provided, and all Improvements installed on or after the date hereof by, or on behalf of, Subtenant which, pursuant to the terms of the Prime Lease Sublessor and/or Subtenant are required to remove. Subtenant’s obligation to observe or perform this covenant shall survive the termination of this Sublease. (b) If Subtenant shall fail to duly and timely surrender the Subleased Premises in accordance with the terms and conditions of this Sublease and the Prime Lease, either at the expiration of the term of this Sublease, upon the occurrence of a default which continues beyond the expiration of applicable grace or cure periods, or upon the occurrence of any other event causing the termination of this Sublease (a “Holdover”), Sublessor shall be responsible for any holdover penalties resulting under the Prime Lease from Subtenant’s failure to duly and timely surrender the Subleased Premises. If the Subleased Premises are not surrendered upon termination, then Subtenant shall indemnify and hold harmless Sublessor against any loss, costs, liability or expenses (including attorneys fees) resulting from the failure to surrender, including any and all claims made by Prime Landlord or any succeeding lessee or sublessee founded upon such delay or failure to vacate the Subleased Premises. Nothing contained in this subsection (b) shall be deemed to give to Subtenant any right to fail to surrender possession or to hold over.
Surrender of Subleased Premises. 6.1. On the expiration or termination of this Sublease, Sublessee shall surrender to Sublessor the Subleased Premises, including all improvements and fixtures therein except those listed in Exhibit 7, whether leased to or otherwise owned by Sublessee, broom clean and in good order, condition and repair, reasonable wear and tear excepted, together with all alterations, decorations, additions and improvements that may have been made in, to or on the Subleased Premises, except that Sublessee shall be allowed to remove its personal property or any removable improvements made by Sublessee at its sole expense that can be removed without damage to any buildings, facilities or other improvements to the Subleased Premises. The Subleased Premises, including the improvements and fixtures therein, shall be delivered free and clear of all subtenancies, liens and encumbrances, other than those, if any, permitted hereby or otherwise created or consented to by Sublessor, and, if requested to do so, Sublessee shall execute, acknowledge and deliver to Sublessor such instruments of further assurance as in the opinion of Sublessor are necessary or desirable to confirm or perfect Sublessor's right, title and interest in and to the Subleased Premises including said improvements and fixtures. On or before the end of the Sublease term, Sublessee shall remove all of Sublessee's personal and other property allowed to be removed hereunder, and all such property not removed shall be deemed abandoned by Sublessee and may be utilized or disposed of by Sublessor without any liability to Sublessee. Sublessee's obligation under this Article 6 shall survive the expiration or termination of this Sublease.
Surrender of Subleased Premises. Upon the expiration or earlier termination of this Sublease, Subtenant shall surrender the Subleased Premises in the same condition as they were in on the Commencement Date, except for ordinary wear and tear and damage due to casualty not caused by Subtenant or condemnation.

Sublessor agrees that on payment of the rents and any other payments due, and performance of the covenants and agreements on the part of Sublessee to be performed hereunder, Sublessee shall peaceably have and enjoy the Subleased Premises for the uses granted to Sublessee hereunder, subject to Sublessor's continued rights under the applicable Prime Agreement and any limitations otherwise stated herein.
Surrender of Subleased Premises. At the expiration or earlier termination of this Sublease, Subtenant shall surrender the Subleased Premises (and all keys to the Subleased Premises) to Sublandlord in the condition required by the Prime Lease. Any property of Subtenant left upon the Subleased Premises at the termination of this Sublease shall be deemed abandoned by Subtenant, and Sublandlord may thereafter use or dispose of such property as Sublandlord sees fit without obligation to Subtenant. Subtenant shall reimburse Sublandlord on demand for Sublandlord's costs and expenses in removing and disposing of such property, and Subtenant shall further indemnify and hold Sublandlord free and harmless from any liability, claim or expense suffered or incurred by Sublandlord in connection with the removal or disposal of such property.
Surrender of Subleased Premises. Upon the expiration or earlier termination of this Sublease, Subtenant shall surrender the Subleased Premises in the same condition, as they existed upon delivery of possession thereof under this Sublease, reasonable wear and tear and damage by unavoidable casualty and the elements alone excepted. Subtenant shall surrender all keys for the Subleased Premises to Sublessor at the place then fixed for the payment of rent and shall inform Sublessor of all combinations on locks, safes and vaults, if any, in the Subleased Premises. Furthermore, Subtenant shall promptly remove or cause to be removed from the Subleased Premises and the Building, at Subtenant's expense, any signs, notices and displays placed thereon by Subtenant. Before surrendering the Subleased Premises as aforesaid, Subtenant shall also remove all its trade fixtures and other personal property and shall repair any damage to the Subleased Premises caused by such removal, all as provided in and subject to the provisions of section 4.3 above. Subtenant's obligations to observe and perform these covenants shall survive the expiration or other termination of this Sublease.
Surrender of Subleased Premises. Upon the expiration or earlier termination of the Term of this Sublease, Subtenant will quit and surrender possession of the Subleased Premises to Sublandlord in the condition required by Section 16.4(B) of the Original Lease; however, in no event shall Subtenant be obligated to remove any Furniture (as defined below) or restore any alterations or improvements currently existing in the Subleased Premises as of the Commencement Date. To the extent Subtenant’s property remains in the Subleased Premises after the expiration of the Term such property is deemed abandoned and Sublandlord has the right to remove and store the same at Subtenant’s cost, or to use assert control and ownership over the same. At least sixty (60), but not more than ninety (90), days prior to the Expiration Date, Subtenant shall submit a written notice to Sublandlord and Landlord (the “Surrender Condition Notice”) to schedule a joint inspection with Sublandlord and Landlord to inspect the Subleased Premises to identify the scope of work that Subtenant must complete, at Subtenant’s expense, to satisfy its surrender obligations under this section. If Subtenant either or both fails to deliver the Surrender Condition Notice to, or jointly inspect the Subleased Premises with, Sublandlord and Landlord, then Sublandlord’s and/or Landlord’s determination of the required work shall be dispositive.
Surrender of Subleased Premises. Upon an early termination of this Sublease, Subtenant shall quit and surrender possession of the Subleased Premises to Sublandlord in as good order and condition as the same are now or hereafter may be improved by Prime Landlord or Subtenant, reasonable wear and tear and repairs which are Prime Landlord’s obligation excepted, and shall, without expense to Sublandlord, remove or cause to be removed from the Subleased Premises all debris and rubbish, all furniture, equipment, business and trade fixtures, free-standing cabinet work, movable partitioning and other articles of personal property owned by Subtenant or installed or placed by Subtenant at its expense in the Subleased Premises, and all similar articles of any other persons claiming under Subtenant, and Subtenant shall repair all damage to the Subleased Premises resulting from such removal. If, as a result of a default by Subtenant under this Sublease or any action taken by the Prime Landlord pursuant to the Prime Lease, Sublandlord or Prime Landlord re-enters or re-takes possession of the Subleased Premises prior to the normal expiration of this Sublease, Sublandlord or Prime Landlord shall have the right, but not the obligation, to remove from the Subleased Premises all personal property located therein belonging to Subtenant, and either party may discard such debris, rubbish and personal property or place such personal property in storage in a public warehouse, all at the reasonable expense and risk of Subtenant.
Surrender of Subleased Premises. Upon the expiration or other termination of the Sublease Term, Subtenant covenants to quit and surrender to Sublandlord or Landlord, as the case may be, the Subleased Premises, and remove all of its furniture, furnishings, personal property, and equipment (but not the Furniture), in order to leave the Subleased Premises broom clean and in as good order and condition as they were on the Sublease Term Commencement Date, ordinary wear and tear excepted. Sublandlord agrees that Subtenant shall not be required to remove its computer cabling and wiring so long as the same is labeled. Any personal property not removed by Subtenant within five (5) business days following notice from Sublandlord that the same was left in the Subleased Premises shall be deemed to have been abandoned by Subtenant and may be retained or disposed of at Subtenant’s expense by Sublandlord or Landlord, as either may desire. Subtenant’s obligation to perform and observe this covenant shall survive the expiration or other termination of the Sublease Term. If Subtenant remains in possession of the Subleased Premises after the Sublease Term Expiration Date or earlier termination of this Sublease, without Sublandlord’s express prior written consent, then Subtenant will be subject to the Holding Over provisions of the Lease (Section 8), except that the Monthly Base Rent shall be 150% of the Monthly Base Rent set forth herein for the last month of the Sublease Term for the duration of the holdover period.

At the expiration of the Term or earlier termination of the Term, Subtenant shall quit and surrender the Subleased Premises broom clean, in as good condition as it was at the beginning of the Term, reasonable wear and tear alone excepted, and shall comply with all terms and conditions of the Prime Lease regarding surrender of the Subleased Premises. Without limiting the generality of the foregoing, Subtenant shall on or before the expiration or termination of this Sublease, (i) remove from the Subleased Premises and transport out of the Building all of Subtenant’s furniture, equipment and other personal property and repair any damage caused by such removal and (ii) remove all trash and broom sweep the Subleased Premises. If any personal property of Subtenant remains in the Subleased Premises after the termination of this Sublease, at the election of Sublandlord, (y) it shall be deemed to have been abandoned by Subtenant and may be retained by Sublandlord as its own property or (z) the property may be removed and disposed of by Sublandlord at the expense of Subtenant. Subtenant’s obligations under this Section 14 will survive the expiration of the Term or earlier termination of this Sublease.
