Common use of Survival in All Cases Clause in Contracts

Survival in All Cases. Notwithstanding anything contained herein to the contrary, termination of this Agreement shall be without prejudice to or limitation on any other remedies available to nor any accrued obligations of either Party. In addition to the effects of termination set forth in Section 13.4, Articles 1 (to the extent the definitions in such Article are necessary to construe the other surviving provisions of this Agreement), 9 (except Section 9.2(d)), 10, 12 (except Section 12.5) and 14, and Sections 7.1, 7.4, 7.5, 8.6, 8.7, 11.3, 13.4, 13.5 and 13.6 shall survive any expiration or termination of this Agreement.

Survival in All Cases. In addition to the effects of termination set forth event this Agreement expires or is terminated in accordance with Section 13.411.2, all rights and obligations under this Agreement shall immediately cease, except that the Parties’ respective rights and obligations under Articles 1 (to the extent the definitions in such Article are necessary to construe the other surviving provisions of this Agreementas applicable), 6, 7, 9 (except Section 9.2(d)), and 10, 12 (except Section 12.5) and 14, and Sections 7.14.3(a), 7.44.3(b), 7.5, 8.6, 8.78.4, 11.3, 13.411.4, 13.5 11.5, 12.2, 12.3, 12.8, 12.9, 12.10, 12.13, 12.14 and 13.6 12.15 shall survive any expiration or termination of this Agreement.
