Survival of Certain Obligations and Termination Certificate Clause Samples

The 'Survival of Certain Obligations and Termination Certificate' clause ensures that specific contractual obligations remain in effect even after the agreement is terminated or expires. Typically, this clause identifies which duties—such as confidentiality, indemnification, or payment of outstanding amounts—continue to bind the parties post-termination, and may require one or both parties to provide a certificate confirming that all necessary post-termination actions have been completed. Its core function is to maintain accountability for critical responsibilities beyond the contract's end, thereby protecting the interests of the parties and preventing disputes over lingering obligations.
