Taxes for Which C-Cube is Liable. Except as provided in Section 3.1(a), C-Cube shall be responsible for, and shall pay on a timely basis and indemnify and hold Semiconductor harmless on an After-Tax Basis, from and against, (i) all Taxes required to be reflected in a C-Cube Separate Company Return, and (ii) except as provided in Section 6.3, Pre-Semi Disposition Non-Semiconductor Taxes attributable to an amended Return (other than an amended Return prepared by or at the request of Semiconductor) or to an Adjustment.
