Technical Acceptance Process. 8.1.1 Prior to Delivery the Aircraft shall undergo * technical acceptance process (the "TECHNICAL ACCEPTANCE PROCESS"). Completion of the Technical Acceptance Process shall demonstrate the satisfactory functioning of the Aircraft and shall be deemed to demonstrate compliance with the Specification. Should it be established that the Aircraft does not comply with the Technical Acceptance Process requirements, the Seller shall without hindrance from the Buyer be entitled to carry out any necessary changes and, as soon as practicable thereafter, resubmit the Aircraft to such further Technical Acceptance Process as is necessary to demonstrate the elimination of the non-compliance.
8.1.2 The Technical Acceptance Process shall:
(i) commence *
(ii) take place at the Delivery Location;
(iii) be carried out by the personnel of the Seller, *
(iv) include a technical acceptance flight which shall not exceed a period of three (3) hours.
Technical Acceptance Process. Prior to the Delivery of any Aircraft, such Aircraft shall undergo the technical acceptance process developed by the Seller and applicable to such aircraft type (the “Technical Acceptance Process”). The Technical Acceptance Process shall be conducted by the Seller in accordance with its standard procedures for the delivery of aircraft to customers. Successful completion of the Technical Acceptance Process shall be deemed to demonstrate compliance of the relevant Aircraft with the Specification. Should it be established that an Aircraft does not comply with the requirements of the Technical Acceptance Process, then the Seller shall without hindrance from the Buyer be entitled to carry out any necessary changes and, as soon as practicable thereafter, submit the relevant Aircraft to the remainder of the Technical Acceptance Process until successful completion.

If, during the Technical Acceptance Process any Aircraft does not comply with all of the Technical Acceptance Process requirements, the Seller will without hindrance from the Buyer carry out, at its cost, any necessary changes and, as soon as practicable thereafter, resubmit such Aircraft to such further Technical Acceptance Process as is necessary to demonstrate the elimination of the non-compliance.
8.1.2 The Technical Acceptance Process will:
(i) commence on a date notified by the Seller to the Buyer [CONFIDENTIAL PORTION OMITTED AND FILED SEPARATELY WITH THE COMMISSION PURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT]
(ii) take place at the Delivery Location,
(iii) be carried out by the personnel of the Seller with the participation of the Buyer’s representatives in accordance with the Technical Acceptance Process and Clause 8.

The Seller will give to the Buyer not less than [***] days written notice of the proposed time when the Technical Acceptance Process will commence. Completion of the Technical Acceptance Process shall demonstrate the satisfactory functioning of the relevant Aircraft and shall be deemed to demonstrate compliance with the Specification. Should it be established that the relevant Aircraft does not comply with the Technical Acceptance Process requirements, the Seller shall without hindrance from the Buyer be entitled to carry out any necessary changes and, as soon as practicable thereafter, resubmit the relevant Aircraft to such further Technical Acceptance Process as is necessary to demonstrate the elimination of the non-compliance. The Seller will keep the Buyer informed as to progress with such changes and, as soon as practicable thereafter, will be entitled to resubmit the relevant Aircraft for new acceptance tests to demonstrate the elimination of such non-compliance or defect, such tests to be held and carried out in accordance with this Clause 8. The Technical Acceptance Process shall, without limitation, include a technical acceptance flight which shall not exceed [***] duration (save as may be extended by agreement between the Buyer and the Seller).

Technical Acceptance Process. 8.1.1 The technical acceptance process for the Aircraft will include ground inspection and functional tests and an acceptance flight test and shall be conducted in accordance with the Manufacturer’s ground inspection and flight test procedures referenced in the Manufacturer’s Customer Acceptance Manual (A319, A320 or A321, as applicable) as such process may be revised from time to time by mutual agreement to incorporate the Buyer’s reasonable requests (the “Technical Acceptance Process”). The Seller will give to the Buyer not less than thirty (30) days’ notice of the date when the Technical Acceptance Process is scheduled to be conducted; this information will be contained in the notification provided pursuant to Clause 9.1.2. A copy of the Customer Acceptance Manual shall be provided to the Buyer at the commencement of the Technical Acceptance Process, and (absent the Parties’ agreement to the contrary) [***].
