Technical Advisor. The Borrower shall retain an Technical Advisor in order to satisfy all requirements of the Financing Documents pertaining to the Technical Advisor.

Technical Advisor. During the period of construction, Company shall make reasonably available an employee of Company or its affiliates during business hours (telephonically, via email, or at the Site, as may be mutually agreed and coordinated) to serve as technical advisor regarding Company technology (a “Technical Advisor”). Such Technical Advisor shall provide interpretive advice to Distributor regarding the technical specifications, installation manual, and other Product- specific information. Such advice shall exclude any supervision, management, or evaluation of Distributor’s or its contractors’ personnel, agents or subcontractors and work relating thereto, and any responsibility for planning, scheduling or management of Distributor’s work (including in connection with development or permitting).

Technical Advisor. The Relevant Obligors shall: (a) appoint (under a deed of appointment or appointment agreement in the agreed form) the Technical Advisor, prior to the levying of any fine referred to in paragraph 13 of Schedule 9 (Events of Default), such appointment not to expire or otherwise terminate until after the practical completion of the City of Dreams Site (including the Additional Hotel); (b) promptly provide the Technical Advisor with all information that may be required for it to issue the report contemplated by sub-paragraph (d) of paragraph 13 of Schedule 9 (Events of Default); and (c) following the appointment of the Technical Advisor, shall procure that the Technical Advisor also provides to the Lenders an update in the agreed form (no less frequently than once every 3 Months until the practical completion of the Additional Hotel) in respect of the progress of the completion of the development of the City of Dreams Site (including the Additional Hotel).

Technical Advisor. If the Contract Particulars provide that a Technical Advisor's Certification is required in relation to the Site then the Commonwealth will appoint the Technical Advisor to carry out the functions of the Technical Advisor. The Contractor acknowledges and agrees that: the Technical Advisor may confer with the Contractor, but will report directly to the Contract Administrator; and except to the extent required for the purposes of paragraph (i), the Contractor must not comply with any direction of the Technical Advisor given directly by the Technical Advisor to the Contractor (whether purported to be given under a provision of this Contract or otherwise) unless that direction is given to the Contractor as part of a direction by the Contract Administrator under clause 3.1(a). No certification given by the Technical Advisor will have any force or effect unless it is given in writing. The Commonwealth may, in its absolute discretion, terminate the services of the Technical Advisor and: the Commonwealth's decision to terminate the services of the Technical Advisor is final and conclusive; the Commonwealth is not under any obligation to give the Contractor any reason or explanation for its decision to terminate the Technical Advisor; the Contractor acknowledges that it is not entitled to, and agrees that it will not seek to, restrain or otherwise intervene in or interfere with the termination of the services of the Technical Advisor; and the Contractor acknowledges that it will not be entitled to make any Claim against the Commonwealth arising out of, or in connection with, the termination of the Technical Advisor's services. If the Commonwealth terminates the services of the Technical Advisor, or if the Technical Advisor ceases to act for any reason, the Contract Administrator will: promptly notify the Contractor in writing; and as soon as reasonably practicable, appoint another Technical Advisor and notify the Contractor of that appointment. Any Technical Advisor appointed under subparagraph 3.10(e)(ii) is bound by any direction given by any former Technical Advisor to the same extent as the relevant former Technical Advisor would have been bound by that direction.
