Teradata Cloud Service. Customer’s electronic access to Teradata software and services as specifically described in the applicable Order entered into by the parties and the Service Description. If the Customer has chosen to contract directly with the Cloud Platform provider for the Site, Teradata Cloud Service excludes the Cloud Platform infrastructure (including related services such security and operations) provided by such Cloud Platform provider to Customer under an independent agreement. Teradata Cloud Service Site (or Site): As applicable, either (i) each Cloud Platform provisioned under this Agreement or (ii) if the Customer has chosen to contract directly with the Cloud Platform provider, the Cloud Platform infrastructure provisioned independently by Customer. Teradata Cloud Service Term (or Cloud Service Term): The period agreed to in an Order during which Teradata will provide access to the Teradata Cloud Service to Customer.

  • CLOUD SERVICE The Cloud Service offering, is described below and is specified in an Order Document for the selected entitled offerings. The Order Document will consist of the Quotation that is provided and the Proof of Entitlement (▇▇▇) you will receive confirming the start date and term of the Cloud Services and when invoicing will commence.

  • Verizon OSS Services 8.2.1 Upon request by PNG, Verizon shall provide to PNG Verizon OSS Services. Such Verizon OSS Services will be provided in accordance with, but only to the extent required by, Applicable Law. 8.2.2 Subject to the requirements of Applicable Law, Verizon Operations Support Systems, Verizon Operations Support Systems functions, Verizon OSS Facilities, Verizon OSS Information, and the Verizon OSS Services that will be offered by Verizon, shall be as determined by Verizon. Subject to the requirements of Applicable Law, Verizon shall have the right to change Verizon Operations Support Systems, Verizon Operations Support Systems functions, Verizon OSS Facilities, Verizon OSS Information, and the Verizon OSS Services, from time-to-time, without the consent of PNG. 8.2.3 To the extent required by Applicable Law, in providing Verizon OSS Services to PNG, Verizon will comply with Verizon’s applicable OSS Change Management Guidelines, as such Guidelines are modified from time-to-time, including, but not limited to, the provisions of the Guidelines related to furnishing notice of changes in Verizon OSS Services. Verizon’s OSS Change Management Guidelines will be set out on a Verizon website.

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation. Additional Cloud Service Terms are stated at ▇▇▇▇▇://▇▇▇▇▇.▇▇▇▇▇.▇▇▇/#cloud-services, which are incorporated by reference.

  • Motorola s sole obligation to Licensee and Licensee’s exclusive remedy under this warranty is to use reasonable efforts to remedy any material Software defect covered by this warranty. These efforts will involve either replacing the media or attempting to correct significant, demonstrable program or documentation errors or Security Vulnerabilities. If Motorola cannot correct the defect within a reasonable time, then at Motorola’s option, Motorola will replace the defective Software with functionally-equivalent Software, license to Licensee substitute Software which will accomplish the same objective, or terminate the license and refund the Licensee’s paid license fee.

  • Stock Plan Administration Service Provider The Company transfers the Optionee's Personal Information to Fidelity Stock Plan Services LLC, an independent service provider based in the United States, which assists the Company with the implementation, administration and management of the Plan (the “Stock Plan Administrator”). In the future, the Company may select a different Stock Plan Administrator and share the Optionee's Personal Information with another company that serves in a similar manner. The Stock Plan Administrator will open an account for the Optionee to receive and trade Shares acquired under the Plan. The Optionee will be asked to agree on separate terms and data processing practices with the Stock Plan Administrator, which is a condition to the Optionee’s ability to participate in the Plan.
