Term and Termination 11. Срок действия и условия расторжения (i) on the date stated in the Ad Insertion Order; or Договор вступает в силу с даты размещения Рекламного заказа, а срок его действия, в зависимости от условий Рекламного заказа, истекает: (i) в день, указанный в Рекламном заказе; или (ii) on the date when the total budget chosen by the Client (and as set out in the Ad Insertion Order) is exhausted. (ii) в день, когда будет израсходован весь бюджет, определенный Клиентом (и указанный в Рекламном заказе). Without prejudice to any other rights and remedies, either Party may terminate the Agreement with immediate effect by written notice to the other Party: Сохраняя за собой все другие права и средства судебной защиты, любая из Сторон может расторгнуть Договор с немедленным вступлением в силу, направив письменное извещения другой Стороне: (a) if the other Party commits a material breach of any of its obligations under the Agreement and in the case of a remediable breach, fails to remedy it within seven (7) days of the date of receipt of notice from the other specifying the breach and requiring it to be remedied; or (a) если другая Сторона существенно нарушит какое-либо из своих обязательств по Договору и, в случае поправимого нарушения, не устранит его в течение 7 (семи) дней с даты получения извещения от другой Стороны с указанием нарушения и требованием устранить его; или (b) on the occurrence of a force majeure event that has continued for a minimum period of two months; or (b) в случае наступления форс-мажорных обстоятельств, длящихся не менее двух месяцев; или (c) in the event that either Party becomes insolvent, goes into liquidation, appoints an administrative receiver or analogous proceedings under relevant local law. Expiration or termination (for any reason) of the Agreement shall not affect any accrued rights or liabilities which either Party may then have nor shall it affect any clause which is expressly or by implication intended to continue in force after expiration or termination.
