Common use of Term and Termination 11 Clause in Contracts

Term and Termination 11. 1 This Agreement shall become effective on the Effective Date. Unless sooner terminated as provided for below, this Agreement shall continue in effect on a Licensed Product-by-Licensed Product basis until the expiration of Licensee’s payment obligations set forth under Exhibit B, Section 4 (Royalties).

Unless sooner terminated as provided for below, this Agreement shall continue in effect effect, on a Licensed Product-by-Licensed Product basis and country-by-country basis, until the expiration of Licensee’s payment obligations set forth under Exhibit B, Section 4 (Royalties)the last to expire patent for so long as there is an issued Valid Claim in such country covering such Licensed Product.
