Common use of Term and Termination 5 Clause in Contracts

Term and Termination 5. 1. Each Party has the right to terminate this Agreement with thirty (30) days prior written notice. 5.2. In the event of a material breach of this Agreement by either party, the other party shall have the right to terminate this Agreement upon fourteen (14) calendar days advance written notice to the other party, unless such material breach is cured by the breaching party before the end of such fourteen (14) day period. Material breach includes but is not limited to: a) If DONATORY fails to comply with Sections 3 and 4 of this Agreement and/or anti-bribery provisions under Section 6 of this Agreement, this Agreement shall be terminated without the opportunity for DONATORY to cure the breach; b) if DONOR does not start the activity within a maximum of 45 calendar days from the date of signing this contract, for reasons attributable to DONOR; and c) if, for reasons attributable to DONOR, DONOR interrupts its activity for a period greater than 45 calendar days. 5.
