Common use of Term and Termination of this Agreement Clause in Contracts

Term and Termination of this Agreement. The term of this Agreement shall commence as of the Effective Date (as defined above) and continue until the end of that calendar year (the “Initial Term”). The term shall be automatically renewed as of the beginning of each calendar year (each year a “Renewal Year”), unless either party gives to the other party a written notice of termination of this Agreement on or before November 15th of each calendar year. Notwithstanding the prior paragraph, the Term of this Agreement shall terminate (a) immediately in the event of any willful or negligent misuse of the Certification ▇▇▇▇ by Licensee or any willful or negligent act or omission being committed by Licensee while exercising its rights under the License or (b) Thirty (30) days after written notice by Licensor to Licensee of a breach of Licensee’s obligations or duties under this Agreement, unless such breach is cured within that Thirty (30) day period. Upon a breach of this Agreement by Licensee, Licensor shall be entitled to exercise any and all remedies available under law or equity, including, but not limited to, the right to specific performance and other injunctive relief, particularly with respect to enforcing the provisions of Section 12 below, and actual damages, and the right to terminate this Agreement immediately without prejudice to any other available remedies.
