Term and Termination. 2.1 This Agreement shall be effective as of the Effective Date and, unless cancelled or terminated earlier in accordance with the terms hereof, shall continue in effect until Calendar Date Two Years After Effective Date (the “Initial Term”). 2.4 notification of its desire to renegotiate the Agreement at the end of the Initial Term or any Subsequent Term. If either Reconex Party provides the other Party with written notification to renegotiate this Agreement, the negotiation and arbitration processes of the Act will be applicable and the date of the notice to negotiate a successor agreement will be the starting point for the negotiation window under Section 252 of the Act. If Frontier provides notice of termination pursuant to Section 2.2, and at least ninety (90) days before the proposed date of termination either, and DISH Wireless or Verizon Frontier has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between DISH Wireless and Frontier; or, (b) the date one (1) year after the proposed date of termination. The effective date of a successor interconnection agreement between DISH Wireless and Frontier will be as of the date of termination of this Agreement. Any changes in rates will apply, and be subject to true-up, as of the effective date of the new interconnection agreement.
2.5 If Frontier provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex DISH Wireless nor Verizon Frontier has requested negotiation of a new interconnection agreementagreement (or, in accordance with Subsection 2.3(b), if no new agreement is reached by the date one (1) year after the proposed date of termination), then (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination (or in the case of termination in accordance with Subsection 2.3(b), at 11:59 PM Eastern Time on the date one (1) year after the proposed date of termination), and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff Tariff. 2.3 If either Reconex DISH Wireless or Verizon Frontier provides notice of termination pursuant to Section 2.2 and on or before the proposed date of termination either Reconex DISH Wireless or Verizon Frontier has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between Reconex DISH Wireless and VerizonFrontier; or, (b) the date one (1) year after the proposed date of termination.
2.4 Either Party may provide the other Party with at least ninety (90) day’s written notification of its desire to renegotiate the Agreement at the end of the Initial Term or any Subsequent Term. If either Reconex Party provides the other Party with written notification to renegotiate this Agreement, the negotiation and arbitration processes of the Act will be applicable and the date of the notice to negotiate a successor agreement will be the starting point for the negotiation window under Section 252 of the Act. If Frontier provides notice of termination pursuant to Section 2.2, and at least ninety (90) days before the proposed date of termination either, and DISH Wireless or Verizon Frontier has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between DISH Wireless and Frontier; or, (b) the date one (1) year after the proposed date of termination. The effective date of a successor interconnection agreement between DISH Wireless and Frontier will be as of the date of termination of this Agreement. Any changes in rates will apply, and be subject to true-up, as of the effective date of the new interconnection agreement.

2.4 If either Reconex CSTC or Verizon provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex CSTC nor Verizon has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or Statement of Generally Available Terms (SGAT).

2.3 If either Reconex Ygnition or Verizon provides notice of termination pursuant to Section 2.2 and on or before the proposed date of termination either Reconex Ygnition or Verizon has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between Reconex Ygnition and Verizon; or, (b) the date one (1) year after the proposed date of termination.

2.2 Either Reconex GNAPS or Verizon may terminate this Agreement effective upon the expiration of the Initial Term or effective upon any date after expiration of the Initial Term by providing written notice of termination at least ninety (90) days in advance of the date of termination.
2.3 If either Reconex GNAPS or Verizon provides notice of termination pursuant to Section 2.2 and on or before the proposed date of termination either Reconex GNAPS or Verizon has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between Reconex GNAPS and Verizon; or, (b) the date one (1) year after the proposed date of termination.
2.4 If either Reconex GNAPS or Verizon provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex GNAPS nor Verizon has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or Statement of Generally Available Terms (SGAT).

(b) the date one (1) year after the proposed date of termination, provided that if prior to the date one (1) year after the proposed date of termination the open issues for a new interconnection agreement between Intrado Comm and Verizon have become the subject of an arbitration proceeding before the Commission or the FCC pursuant to 47 U.S.C. § 252, this Agreement shall remain in effect until the earlier of (i) the effective date of a new interconnection agreement between Intrado Comm and Verizon or, (ii) the date 120 days after the effective date of a Commission or FCC order concluding the arbitration proceeding.
2.4 If either Reconex Intrado Comm or Verizon provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex Intrado Comm nor Verizon has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or Statement of Generally Available Terms (SGAT).

If either Reconex or Verizon Party provides the other Party with written notification to renegotiate this Agreement, the negotiation and arbitration processes of the Act will be applicable and the date of the notice to negotiate a successor agreement will be the starting point for the negotiation window under Section 252 of the Act. 2.3 If either Reconex Mosaic or Verizon provides notice of termination pursuant to Section 2.2 and on or before the proposed date of termination either Reconex Mosaic or Verizon has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between Reconex Mosaic and Verizon; or, (b) the date one (1) year after the proposed date of termination.
2.4 If either Reconex Mosaic or Verizon provides notice of termination pursuant to Section 2.2 2.2, and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex Mosaic nor Verizon has requested negotiation of a new interconnection agreementagreement (or, in accordance with Subsection 2.3(b), if no new agreement is reached by the date one (1) year after the proposed date of termination), then (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination (or in the case of termination in accordance with Subsection 2.3(b), at 11:59 PM Eastern Time on the date one (1) year after the proposed date of termination), and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or Statement of Generally Available Terms (SGAT).

2.3 If either Reconex WCL or Verizon Frontier provides notice of termination pursuant to Section 2.2 and on or before the proposed date of termination either Reconex WCL or Verizon Frontier has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between Reconex WCL and VerizonFrontier; or, (b) the date one (1) year after the proposed date of termination.
2.4 Eithe notification of its desire to renegotiate the Agreement at the end of the Initial Term or any Subsequent Term. If either Reconex Party provides the other Party with written notification to renegotiate this Agreement, the negotiation and arbitration processes of the Act will be applicable and the date of the notice to negotiate a successor agreement will be the starting point for the negotiation window under Section 252 of the Act. If Frontier provides notice of termination pursuant to Section 2.2, and at least ninety (90) days before the proposed date of termination either, and WCL or Verizon Frontier has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between WCL and Frontier; or, (b) the date one (1) year after the proposed date of termination. The effective date of a successor interconnection agreement between WCL and Frontier will be as of the date of termination of this Agreement. Any changes in rates will apply, and be subject to true-up, as of the effective date of the new interconnection agreement.
2.5 If Frontier provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex WCL nor Verizon Frontier has requested negotiation of a new interconnection agreementagreement (or, in accordance with Subsection 2.3(b), if no new agreement is reached by the date one (1) year after the proposed date of termination), then (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination (or in the case of termination in accordance with Subsection 2.3(b), at 11:59 PM Eastern Time on the date one (1) year after the proposed date of termination), and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff Tariff. Upon termination or SGATexpiration of this Agreement each Party shall promptly pay all amounts (including any late payment charges) owed under this Agreement.

2.3 If either Reconex Threshold or Verizon provides notice of termination pursuant to Section 2.2 and on or before the proposed date of termination either Reconex Threshold or Verizon has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between Reconex Threshold and Verizon; or, (b) the date one (1) year after the proposed date of termination.
2.4 If either Reconex Threshold or Verizon provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex Threshold nor Verizon has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or Statement of Generally Available Terms (SGAT).

Term and Termination. 2.1 3.1 This Agreement is effective on the earlier of: (i) the date the Commission deems the Agreement effective: or (ii) ninety (90) days after the filing of the Agreement with the Commission provided the commission does not reject the Agreement in the intervening period (“Effective Date”).
3.2 This Agreement shall be effective as of the Effective Date and, unless cancelled or terminated earlier in accordance with the terms hereof, shall continue in effect until Calendar Date Two Years After Effective Date until: calendar date two years after effective date (the “Initial Term”). Thereafter, this Agreement shall continue in force and effect unless and until cancelled or terminated as provided in this Agreement.
2.2 3.3 Either Reconex TCA or Verizon FRTC may terminate this Agreement effective upon the expiration of the Initial Term or effective upon any date after expiration of the Initial Term by providing written notice of termination at least ninety (90) days in advance of the date of termination.
2.3 3.4 If either Reconex TCA or Verizon FRTC provides notice of termination pursuant to Section 2.2 3.3 and on or before the proposed date of termination either Reconex TCA or Verizon FRTC has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 1213), this Agreement shall remain in effect until the earlier of: (a) the effective date of a new interconnection agreement between Reconex TCA and VerizonFRTC; or, (b) the date one hundred and sixty (1160) year days after the proposed date of terminationtermination or any agreed upon extension thereof; except that, if either Party has filed a petition for arbitration of a new agreement with the Commission in accordance with Section 252, the terms and conditions of this Agreement shall continue in effect until such time the arbitration is concluded and there is approval of a new agreement by the Commission.
2.4 3.5 If either Reconex TCA or Verizon FRTC provides notice of termination pursuant to Section 2.2 3.3 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex TCA nor Verizon FRTC has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminatedterminated in accordance with requirements of the Commission and Applicable Law, if any, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or SGATStatement of Generally Available Terms.

2.4 If either Reconex TNCI or Verizon provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex TNCI nor Verizon has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or Statement of Generally Available Terms (SGAT).

2.3 If either Reconex Intrado or Verizon provides notice of termination pursuant to Section 2.2 and on or before the proposed date of termination either Reconex Intrado or Verizon has requested negotiation of a new interconnection agreement, unless this Agreement is cancelled or terminated earlier in accordance with the terms hereof (including, but not limited to, pursuant to Section 12), this Agreement shall remain in effect until the earlier of: :
(a) the effective date of a new interconnection agreement between Reconex Intrado and Verizon; or, ,
(b) the date one (1) year after the proposed date of termination, provided that if prior to the date one (1) year after the proposed date of termination the open issues for a new interconnection agreement between Intrado and Verizon have become the subject of an arbitration proceeding before the Commission or the FCC pursuant to 47 U.S.C. § 252, this Agreement shall remain in effect until the earlier of (i) the effective date of a new interconnection agreement between Intrado and Verizon or, (ii) the date 120 days after the effective date of a Commission or FCC order concluding the arbitration proceeding.
2.4 If either Reconex Intrado or Verizon provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex Intrado nor Verizon ▇▇▇▇▇▇▇ has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or Statement of Generally Available Terms (SGAT).

2.4 If either Reconex ECSI or Verizon provides notice of termination pursuant to Section 2.2 and by 11:59 PM Eastern Time on the proposed date of termination neither Reconex ECSI nor Verizon has requested negotiation of a new interconnection agreement, (a) this Agreement will terminate at 11:59 PM Eastern Time on the proposed date of termination, and (b) the Services being provided under this Agreement at the time of termination will be terminated, except to the extent that the Purchasing Party has requested that such Services continue to be provided pursuant to an applicable Tariff or SGAT.
