Termination by Executive without Good Reason. If the Executive determines, at his own discretion, to terminate his Employment prior to the expiration of the Term of Employment hereunder, without Good Reason and in the absence of the Retirement or Disability of the Executive (any such, a “Termination of Employment of Executive without Good Reason”), including any such Termination of Employment of Executive without Good Reason effected by the Executive following his Non-Acceptance of a Replacement Agreement, Executive shall not be entitled to any further compensation for any period subsequent to the effective date of such Termination of Employment of Executive without Good Reason, except for payments, if any, payable in accordance with the then current plans and policies of Arrow or the Bank including applicable qualified or non-qualified employee benefit plans or policies covering Executive or under any other applicable agreements with Executive. Under no circumstances will Executive effect a Termination of Employment of Executive without Good Reason, except after delivery of advance written notice thereof to Arrow or the Bank, and the effective date of any such Termination of Employment of Executive without Good Reason shall be the thirtieth (30th) day following delivery of such written notice, or such other day as may be mutually agreed upon by Arrow and the Executive.

Termination by Executive without Good Reason. The Executive may terminate his employment without Good Reason by providing the Company thirty (30) days’ written notice of such termination. In the event of a termination of employment by the Executive under this Section 6(g), the Executive shall be entitled only to the Accrued Obligations. In the event of termination of the Executive’s employment under this Section 6(g), the Company may, in its sole and absolute discretion, by written notice, accelerate such date of termination and still have it treated as a termination without Good Reason.
Termination by Executive without Good Reason. Executive may terminate Executive’s employment without Good Reason by providing the Company thirty (30) days’ written notice of such termination. In the event of a termination of employment by Executive under this Section 8(f), Executive shall be entitled only to the Accrued Obligations. In the event of termination of Executive’s employment under this Section 8(f), the Company may, in its sole and absolute discretion, by written notice accelerate such date of termination without changing the characterization of such termination as a termination by Executive without Good Reason. Following such termination of Executive’s employment by Executive without Good Reason, except as set forth in this Section 8(f), Executive shall have no further rights to any compensation or any other benefits under this Agreement.
Termination by Executive without Good Reason. At any time during the Term, Executive may terminate his employment without Good Reason upon the giving of not less than sixty (60) days' advance written notice to the Company and his employment with the Company will terminate at the end of the day on the last day in that notice period; provided, however, that the Company may, but need not, elect one or more of the following options: (i) make the termination effective immediately; (ii) require Executive to continue to perform his duties to the Company during the notice period; (iii) limit or impose reasonable restrictions on Executive’s activities during the notice period; or (iv) accept his notice of termination as a resignation prior to the date specified by him in his notice of termination at any time during the notice period. The Company shall pay Executive his Base Salary and all benefits in accordance with the Company’s payroll practices then in effect through the notice period so long as he is required to provide and continues to so provide services to the Company, provided that if the Company elects options (i) or (iv) above, Company shall be obligated to pay Executive his Base Salary and all benefits through the notice period. Upon termination, whether at the end of the notice period specified by Executive in his notice or earlier as may be elected by the Company, the Company’s obligation to pay or provide Executive with compensation and benefits under this Agreement will immediately terminated, except that the Company will pay or provide Executive with the Accrued Compensation within thirty (30) days after the Termination Date. Any benefits payable under insurance, retirement, bonus and/or profit-sharing plans, as a result of Executive’s eligibility and participation in such plans through such date, shall be paid when due under those plans. Other than the foregoing, the Company will have no further obligations to Executive under this Agreement.
Termination by Executive without Good Reason. If Executive’s employment hereunder is terminated by Executive without Good Reason, then the Company shall pay the Accrued Obligations and any accrued and unpaid Annual Performance Bonus for the prior fiscal year to Executive within the time provided by law and the Company shall have no further obligations to Executive under this Agreement.
Termination by Executive without Good Reason. Executive may terminate this Agreement without Good Reason upon 30 days' written notice. Upon the termination date specified in such written notice (which date shall be not more than 30 days following the date of such notice) Executive shall cease to have any power of his office.
Termination by Executive without Good Reason. Executive may terminate his employment under this Agreement at any time without Good Reason upon giving Employer sixty (60) days’ advance written notice.
Termination by Executive without Good Reason. Executive may terminate his employment under this Agreement without Good Reason at any time by giving written notice to the Company. Such termination will become effective upon the date specified in such notice, provided that such date is at least ninety (90) calendar days after the date of delivery of the notice. Upon any such termination, the Company shall be relieved of all of its obligations under this Agreement, except for payment of all accrued compensation and wages and the provision of benefits through the effective date of termination, and the Company may, in its sole discretion, cause the termination to become effective sooner than such ninety (90) day notice period.
Termination by Executive without Good Reason. Upon forty-five (45) days prior written notice to ARC, Executive may terminate this Agreement and resign from Executive’s employment hereunder without any Good Reason.
