Common use of Termination by Executive Clause in Contracts

Termination by Executive. Executive may terminate his employment under this Agreement after providing thirty (30) days’ written notice to the Company.

(b) Executive may terminate his Executive's employment under this Agreement after providing thirty as provided in Subparagraphs 5(d) and (30) days’ written notice to the Companyf).

At any time during the Term of this Agreement, the Executive may shall have the right to automatically terminate his her employment under this Agreement after providing thirty hereunder upon Ninety (3090) days’ days prior written notice to the CompanyBoard. Upon the Executive's termination of her employment pursuant to this Section 4(d), Executive's entitlement to all payments and benefits under this Agreement shall cease.

Executive shall have the right to terminate this Agreement without cause any time upon 90 days' prior written notice, in which case this Agreement shall continue in full force and effect until the date of termination. Upon a termination pursuant to this Paragraph, Executive shall only be entitled to receive his Base Salary through the Companydate of termination.

(i) Notwithstanding anything to the contrary in this Agreement, whether express or implied, the Executive may terminate his employment under this Agreement after providing thirty (30) with the Company at any time with or without Good Reason upon at least 30 days’ advance written notice of his intention to the Companyterminate his employment hereunder.

Termination by Executive. The Executive may terminate his the Executive’s employment under with the Company and the Term of this Agreement after Agreement: (1) For any reason, by providing at least thirty (30) days’ days prior written notice to the Company.; or (2) for Good Reason, in which case she shall receive from the Company the pay and benefits as set forth in in Section 9 “Severance Pay” or Section 10 “Change of Control,” as applicable, of this Agreement. For purposes of this Agreement, “Good Reason” means any of the following that occur without the Executive’s prior express written consent:

Upon such termination, the Company shall have no further obligations hereunder other than to pay the executive his accrued benefits through the date of such termination.

Termination by Executive. Executive may shall have the right to terminate his employment under this Agreement after providing upon thirty (30) days’ written ' notice to the CompanyCompany in the event the Company materially reduces Executive's duties and responsibilities hereunder. Executive's duties and responsibilities shall not be deemed materially reduced for purposes hereof solely by virtue of the fact that the Company is (or substantially all of its assets are) sold to, or is combined with, another entity.

Termination by Executive. Executive may shall have the right to ------------------------ terminate his employment under this Agreement after hereunder by providing thirty the Company with a Notice of Termination sixty (3060) days’ written notice days prior to the Companydate of termination of employment, and such termination shall not in and of itself be, nor shall it be deemed to be, a breach of this Agreement.

Executive may shall have the right to terminate his employment under this Agreement after providing thirty for any reason upon sixty (3060) days’ days (or such longer period of time as may be mutually agreed by the parties) prior written notice to the CompanyParent. In the event of termination by Executive for any reason not constituting a termination for “Good Reason” (as defined above), Executive shall not be entitled to any severance payment or any other payments under this Agreement.
