Common use of Termination by the District Clause in Contracts

Termination by the District. The District may unilaterally terminate all or a portion of the services not then performed under this Agreement at any time, for any reason, by so notifying Contractor in writing. In the event the District terminates all or a portion of this Agreement for convenience prior to the termination date, the District shall compensate the Contractor, determined on a pro rata basis, for work or services satisfactorily performed.

Termination by the District. The District may unilaterally terminate this agreement at any time and for any reason by giving written notice of termination to the Contractor. Subject to Section 5.2, the District will pay to the Contractor all or a amounts owing under this agreement for Services provided by the Contractor up to and including the date of termination. Upon payment of such amounts no other payment will be owed by the District to the Contractor, and, for certainty, no amount will be owed on account of lost profits relating to the portion of the services Services not then performed under this Agreement at any time, for any reason, by so notifying Contractor in writing. In the event the District terminates all or a portion of this Agreement for convenience prior to the termination date, the District shall compensate the Contractor, determined on a pro rata basis, for work or services satisfactorily performed.
