Termination by XOOM Clause Samples
The 'Termination by XOOM' clause grants XOOM the right to end the agreement under specified circumstances. Typically, this clause outlines the conditions under which XOOM may terminate, such as breach of contract by the other party, insolvency, or regulatory changes affecting service delivery. Its core practical function is to provide XOOM with a clear mechanism to exit the contract when continuing the relationship is no longer viable or in XOOM's best interest, thereby managing risk and ensuring operational flexibility.
Termination by XOOM. We may terminate this Contract, or the applicable portion of this Contract, at our discretion and without penalty immediately upon notice to you if:
a. do not pay your bill in full by the date on your bill;
b. do anything that prevents us from supplying you with Energy or services;
c. increase your consumption above 2500 gigajoules per year; or
d. do not give us satisfactory financial or credit information, do not give us a deposit when we request one, or do not meet our credit requirements. We may terminate this Contract, or the applicable portion of this Contract, at our direction and without penalty for any other reason on thirty (30) days notice unless you have a fixed Energy Charge. In that case, we will honour the fixed Energy Charge for the applicable Term, provided that you continue to meet the conditions of this Contract and subject to our other rights of cancellation listed in this Section.
Termination by XOOM. XOOM may terminate this Agreement upon (30) days’ written notice.

XOOM may cancel this Agreement for any reason by giving at least (35) days written notice of its intention to terminate, regardless of whether or not the reason for termination is remedied after notice. Termination becomes effective upon the processing of XOOM’s cancellation request by the LDC. You shall be obligated to pay for the electricity supply service provided by XOOM pursuant to the Agreement prior to the date that such cancellation becomes effective, including any application LDC late fees, or other fees or charges. Should XOOM terminate the Agreement, you will be returned to your LDC’s default electricity supply service unless you choose another electric supplier. XOOM may also cancel this Agreement by giving fifteen (15) days written notice for nonpayment. If we terminate this Agreement for non-payment by you, you shall be responsible for any applicable Cost Recovery Fee. Changes to the Agreement:XOOM may make changes to any term or condition in this Agreement at any time except for the electricity price. We will notify you of any material change to the Agreement in writing at least forty- five (45) days before any such change be applied to your bill or take effect. If you do not terminate the Agreement before the effective date of the change, the change will become effective on the date stated in the notice. Notice is not required for a change that is beneficial to you. Moving:When moving to an address within your LDC’s service territory, XOOM will make every effort to transfer your service to your new service address when you move to an address within your LDC’s service territory, provided that you notify XOOM within fifteen (15) days of your move. If a transfer of service is not successful or you move to a location outside your LDC’s service territory, you may cancel this Agreement at no cost to you. Failure to notify XOOM of your move will be considered a cancellation of this Agreement in accordance with its terms.

XOOM may terminate this Agreement (1) upon fourteen (14) days’ written notice due to non-payment by you, or (2) upon forty-five (45) days’ written notice if due to a change in law or other act beyond our reasonable control and as a result of which we are no longer able to serve you, or (3) your electricity usage changes substantially as determined by XOOM. Termination by XOOM. XOOM Energy may cancel or terminate this Agreement early for any reason, or no reason, without penalty, with thirty (30) days advance written notice. Termination becomes effective when the local utility processes XOOM’s cancellation request, in accordance with applicable utility switching rules and procedures. You shall be obligated to pay for the electricity supply service provided by XOOM Energy pursuant to this Agreement prior to the date cancellation becomes effective, including any applicable local utility late fees, and other fees and charges. Should XOOM Energy terminate the Agreement, you will be returned to your local electric utility’s default electricity supply service unless you choose a different supplier. Should an early cancellation occur, you may utilize the dispute resolution procedures identified in this Agreement.
