Termination During Protected Period. If Executive’s employment by the Company ceases due to a termination by the Company without Cause or a resignation by Executive for Good Reason, and in each case, if such cessation of employment occurs during a Protected Period (as defined below), then in addition to the benefits and payments described in Sections 10(a)(ii) – 10(a)(iv) (increased as applicable for the longer Severance Period for a termination during the Protected Period), (x) the Company shall pay to Executive an amount equal to the Target Bonus for the fiscal year in which such termination of employment occurs, and (y) all outstanding equity awards that are subject to vesting based solely on the passage of time and Executive’s continued employment shall become vested upon the later of the date of Executive’s cessation of employment and the first Change in Control that occurs during the Protected Period.
