Termination for Patent Challenge. Except to the extent the following is unenforceable under the Laws of a particular jurisdiction, Licensor may terminate this Agreement immediately upon written notice to Licensee, if Licensee, either by itself or in association with any other person or entity, commences any legal or administrative action or proceeding challenging the validity, patentability, enforceability or scope of any Licensed Patents.

Termination for Patent Challenge. Except If Optionee asserts the invalidity or unenforceability of any claim of the Licensed Patents, or otherwise challenges the ownership or inventorship of the Licensed Patents, including by way of litigation or administrative proceedings, either directly or indirectly through any other party, then the Licensor shall have the right to immediately terminate any grant of rights to the extent the following is unenforceable under the Laws of a particular jurisdiction, Licensor may terminate this Agreement immediately upon written notice to Licensee, if Licensee, either by itself or in association with any other person or entity, commences any legal or administrative action or proceeding challenging the validity, patentability, enforceability or scope of any Licensed Patents.
