Common use of Termination of Continuous Service Clause in Contracts

Termination of Continuous Service. In the event of the Participant’s termination of Continuous Service for any reason during the Period of Restriction (other than by reason of the Participant’s death, Disability or Retirement, or after a Change of Control), all RSUs held by the Participant at the time of his or her termination of Continuous Service and still subject to the Period of Restriction shall be forfeited to the Company.

Termination of Continuous Service. In the event of the Participant’s termination of Continuous Service for any reason during the Period of Restriction (other than by reason of the Participant’s death, Disability or Retirement, or after Retirement during the Period of Restriction (and except as otherwise provided in Section 3(c) with respect to Performance RSUs that become nonforfeitable upon a Change of in Control), all Performance RSUs held by the Participant at the time of his or her termination of Continuous Service and still subject to the Period of Restriction shall be forfeited by the Participant to the Company.

Termination of Continuous Service. In the event of the Participant’s termination of Continuous Service for any reason during the Period of Restriction (other than by reason of the Participant’s death, Disability or Retirement, or after Retirement during the Period of Restriction (and except as otherwise provided in Section 3(c) with respect to Performance RSUs that become nonforfeitable upon a Change of Control), all Performance RSUs held by the Participant at the time of his or her termination of Continuous Service and still subject to the Period of Restriction shall be forfeited by the Participant to the Company.

In the event of the Participant’s termination of Continuous Service for any reason during the Period of Restriction (other than by reason of the Participant’s death, Disability or Disability, Retirement, Good Leaver Termination (as defined below), or after a Change of Control), all any portion of the Restricted Cash and any of the RSUs held by the Participant at the time of his or her termination of Continuous Service and that are still subject to the Period of Restriction shall be forfeited to the Company.

In Except as provided in Section 2.b above (with respect to termination following Change in Control), if the event Participant's Continuous Service is terminated for any reason prior to the expiration of Restricted Period, the Participant’s termination of Continuous Service for RSUs will be cancelled, terminated and forfeited and the Participant will cease to have any reason during the Period of Restriction (other than by reason right or interest in any portion of the Participant’s death, Disability or Retirement, or after a Change of Control), all RSUs held by the Participant at the time of his or her termination of Continuous Service and still subject to the Period of Restriction shall be forfeited to the CompanyRSUs.

In If the event Participant's Continuous Service is terminated for any reason prior to the expiration of Restricted Period, the Participant’s termination of Continuous Service for RSUs that are not Vested Units will be cancelled, terminated and forfeited and the Participant will cease to have any reason during the Period of Restriction (other than by reason right or interest in any portion of the Participant’s death, Disability or Retirement, or after a Change of Control), all RSUs held by the Participant at the time of his or her termination of Continuous Service and still subject to the Period of Restriction shall be forfeited to the CompanyRSUs.

Termination of Continuous Service. In the event of the Participant’s termination of Continuous Service for any reason during the Period of Restriction (other than by reason of the Participant’s death, Disability or Retirement, or after a Change of Controlas provided for in this Agreement), all RSUs held by the Participant at the time of his or her termination of Continuous Service and still subject shall be forfeited, without any consideration or payment whatsoever to the Period of Restriction shall be forfeited to the CompanyParticipant.
