Termination of Irrevocable Proxies. The proxies described in Section 2.1 shall be irrevocable and shall not terminate until the later of (a) three years after the date of this Agreement or (b) one year after the termination of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇'▇ employment with the Company. The proxies described in Section 2.2 shall be irrevocable and shall not terminate until the conclusion of the 2001 Annual Meeting.
