Common use of Termination of the Master Servicer Clause in Contracts

Termination of the Master Servicer. Notwithstanding anything to the contrary in this Agreement, the parties hereto hereby agree that following the Final Servicing Transfer Date, all of the rights, duties and obligations of the Master Servicer hereunder shall terminate except as set forth in Section 4.04(j); provided, however, that the Master Servicer shall be obligated first to remit all remaining funds in the Master Servicing Account to the Securities Administrator or the Servicer, as applicable and to provide the Securities Administrator with the related Remittance Report; provided, further, that the obligation of the Master Servicer to indemnify the other parties hereto and the right of the Master Servicer to receive the benefit of the indemnification provisions hereunder shall survive the termination of the Master Servicer.
