Common use of TERMINATION OR MODIFICATION Clause in Contracts

TERMINATION OR MODIFICATION. The Contract may be modified or terminated only upon Seller’s written consent. If all or part of the Contract is terminated, Buyer, in the absence of contrary written agreement with Seller, shall purchase completed Goods at the Contract price and work-in-progress and raw materials (including sub-suppliers’ finished goods, work-in-progress and raw materials) at Seller’s actual cost. Upon termination, Buyer shall also pay in full any tooling that has been amortized in the piece price.

Upon Notwithstanding any such termination, Buyer shall also accept delivery of and pay in full for any tooling that has been amortized in goods completed on or prior to Seller’s acceptance of such termination plus Seller's non-recoverable costs (including incidental and consequential damages) attributable to the piece priceterminated order.
