Common use of Termination Upon Non-Payment Clause in Contracts

Termination Upon Non-Payment. In the event that Sponsor fails to pay to TSRI any payment within the time frame set forth in Section 2.5(a), TSRI shall not be obligated to perform any of the research specified herein or to take any other action required under this Agreement and may terminate this Agreement if TSRI has not received payment within ten (10) days after TSRI furnishes to Sponsor written notice of such non-payment. Termination pursuant to this Section 7.3 shall not relieve Sponsor of any liability under this Agreement that accrued prior to such termination.

Sponsor shall be provided thirty (30) days to make the payment owed after receiving written notification from TSRI of failure to make a required payment within the time frame set forth in Section 2.4(a). If Sponsor fails to make the required payment within the thirty (30) days following receipt of written notification from TSRI, TSRI may terminate this Agreement if TSRI has not received payment within ten (10) days after TSRI furnishes to Sponsor written notice of immediately upon such non-payment. Termination pursuant to this Section 7.3 shall not relieve Sponsor of any liability under this Agreement that accrued prior to such terminationAgreement.

In the event that Sponsor fails to pay to TSRI any payment within the time frame set forth in Section 2.5(a)Sections 2.4.a, or 3.5, and subject to thirty (30) days written notice to cure the non-payment, TSRI shall not be obligated to perform any of the research specified herein or to take any other action required under this Agreement and may terminate this Agreement if TSRI has not received payment within ten (10) days after TSRI furnishes to Sponsor written notice of immediately upon such non-payment, in which case Sponsor shall forfeit any rights grated to Sponsor herein. Termination pursuant to this Section 7.3 shall not relieve Sponsor of any liability under this Agreement that accrued prior to such terminationliability.

In the event that Sponsor fails to pay to TSRI any payment within the time frame set forth in Section 2.5(a)2.4 a, TSRI shall not be obligated to perform any of the research specified herein or to take any other action required under this Agreement and may terminate this Agreement if TSRI has not received payment within ten (10) days after TSRI furnishes immediately upon such non-payment, without any possibility for Sponsor to Sponsor written notice of cure such non-payment. Termination pursuant to this Section 7.3 shall not relieve Sponsor of any liability under this Agreement that accrued prior to such terminationAgreement.
