Termination without Cause or Resignation for Good Reason within the Change of Control Period. Except as otherwise set forth in Section 6(c), if, within the Change of Control Period, the Company terminates Executive’s employment with the Company without Cause or Executive resigns from such employment for Good Reason, then, subject to Section 7, Executive will receive the following severance benefits from the Company: (i) Cash Severance. A lump sum severance payment equal to (a) eighteen (18) months of Executive’s then-current Base Salary, plus (b) 100% of Executive’s Target Bonus, plus (c) a pro-rated portion of Executive’s Target Bonus based on the number of days Executive was employed by the Company during the relevant performance period.
