Termination Without Cause. The Company may terminate the Executive’s employment hereunder at any time without Cause. Any termination by the Company of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause.

Termination Without Cause. The Company may terminate the Executive’s employment hereunder at any time without Cause. Any termination by the Company of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c4(c) and does not result from the death or disability of the Executive under Section 3(a4(a) or (b) shall be deemed a termination without Cause.

Termination Without Cause. The Company Employers may terminate the Executive’s employment hereunder at any time without Cause. Any termination by the Company Employers of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause.

Termination Without Cause. The Company and the Employer may terminate the Executive’s employment hereunder at any time without Cause. Any termination by the Company and the Employer of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause. For purposes of clarity, a non-renewal of this Agreement by the Company (in accordance with Section 1(a) above) shall not constitute a termination of employment by the Company and the Employer without Cause.

In the event of a termination of Executive's employment by the Executive’s employment under Company Without Cause, no termination benefits shall be payable to or in respect of Executive except as provided in Section 7(f)(i). For purposes of this Agreement which does not constitute and the Options, a termination "Without Cause" shall mean a termination of Executive's employment by the Company other than due to Executive's death or Disability as described in Section 7(a) and other than for Cause under as described in Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause7(b).

Termination Without Cause. The Notwithstanding any other provisions contained herein, including, but not limited to Section 1.3 above, the Company may terminate the Executive’s employment hereunder at any time immediately following notice of termination without Cause. Any termination Cause given by the Company of the Executive’s employment under (termination pursuant to this Agreement which does not constitute a Section 1.5.4 being referred to herein as termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without “Without Cause”).

Termination Without Cause. The Company may terminate the Executive’s employment hereunder at any time without Cause. Any termination may be terminated by the Company Without Cause (as defined below in this subsection (c)) at any time. In the event of the a termination of Executive’s employment under by the Company Without Cause, no termination benefits shall be payable to or in respect of Executive except as provided in Section 9(f)(i). Any termination Cause given by the Company as approved by the Board of the Executive’s employment under Directors (termination pursuant to this Agreement which does not constitute a Section 1.6.4 being referred to herein as termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without “Without Cause”).

Any In the event of such a termination by of employment, the Company Executive shall only be entitled to the payments and benefits provided for in Section 5(f)(i) and to the termination benefits described in Section 5(f)(iii) and, if applicable, Section 14 (subject to the terms and conditions set forth therein). A termination “Without Cause” means a termination of the Executive’s employment under this Agreement which does not constitute by the Company other than as a termination for result of Disability or Cause under or in a Retirement (as defined in Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause5(e)).

Termination Without Cause. The Company may terminate the ExecutiveEmployee’s employment hereunder at any time without Cause. Any termination by the Company of the ExecutiveEmployee’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability of the Executive Employee under Section 3(a) or (bthe disability of the Employee under Section 3(b) shall be deemed a termination without Cause.

The Company may terminate the Executiveemployment of Executive and all of the Company’s employment obligations hereunder (except as expressly provided) at any time and for any reason or for no reason (“without Cause. Any termination by the Company of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause”).

Termination Without Cause. The Company may terminate the Executive’s employment hereunder at any time without Cause. Any termination may be terminated by the Company Without Cause (as defined below). In the event of the a termination of Executive’s employment under this Agreement which does not constitute by the Company Without Cause, no termination benefits shall be payable to or in respect of Executive except as provided in Section 4(f)(i). A termination “Without Cause” shall mean a termination of Executive’s employment by the Company during the Term specified in Section 1 hereof other than due to Executive’s death, Disability or for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause.

For purposes of clarity, the issuance of a Notice of Non-Renewal by the Company or the Employer (in accordance with Section 1(a) above) shall not constitute or result in a termination of employment by the Company and the Employer without Cause.

Termination Without Cause. The Notwithstanding any other provisions contained herein, including, but not limited to Section 1.3 above, the Company may terminate the Executive’s employment hereunder at any time immediately following notice of termination without Cause. Any termination Cause given by the Company of the Executive’s employment under (termination pursuant to this Agreement which does not constitute a Section 1.6.4 being referred to herein as termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without “Without Cause”).

Termination Without Cause. The Company may terminate the Executive’s employment hereunder at any time without Cause. Any termination by the Company of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability Disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause.
