Termination Without Severance Benefits. In the event that M▇. ▇▇▇▇▇’▇ employment with the Company shall terminate during the Employment Period on account of: (a) Termination for Cause (within the meaning of section 12(a) of this Agreement); (b) voluntary resignation by M▇. ▇▇▇▇▇ other than a Resignation for Good Reason (within the meaning of section 12(b) of this Agreement); or (c) M▇. ▇▇▇▇▇’▇ death; then the Company shall have no further obligations under this Agreement, other than the payment to M▇. ▇▇▇▇▇ (or, in the event of his death, to his estate) of his earned but unpaid salary as of the date of the termination of his employment, and the provision of such other benefits, if any, to which he is entitled as a former employee under the Company’s employee benefit plans and programs and compensation plans and programs and payment for all unused vacation days and floating holidays in the year in which his employment is terminated, at his highest annual salary for such year.
