Terms of Orders. All purchases of the Products by Lederle from Collagen during the term of this Agreement shall be subject to the terms and conditions of this Agreement and to Collagen's Terms and Conditions of Sale as Collagen may establish from time to time, provided that in the event of any conflict between the terms of this Agreement and the Terms and Conditions of Sale of Collagen, this Agreement shall be controlling. Any printed or standard terms and conditions contained in Lederle's purchase order form shall be disregarded. All purchase orders submitted by Lederle to Collagen shall be subject to acceptance by Collagen at its offices at Palo Alto, California, which acceptance shall not be unreasonably withheld.
