THE COLLATERAL AGENT AND THE SECURITIES INTERMEDIARY. The Indenture Trustee hereby appoints HSBC Bank USA, National Association, to act as its collateral agent hereunder, with all of the rights, power, duties and obligations as set forth herein. The Collateral Agent accepts its duties and responsibilities hereunder as collateral agent for the Indenture Trustee.
