The 'Collateral Manager Not to Resign' clause prohibits the collateral manager from voluntarily stepping down from their role except under specific, predefined circumstances. In practice, this means the collateral manager must continue to perform their duties unless, for example, they are unable to fulfill their obligations due to legal or regulatory reasons, or if all relevant parties agree to the resignation. This clause ensures continuity and stability in the management of collateral, preventing disruptions that could arise from an unexpected or unilateral resignation.
The Collateral Manager Not to Resign. The Collateral Manager shall not resign from the obligations and duties hereby imposed on it except upon the Collateral Manager’s good faith determination in consultation with legal counsel that (i) the performance of its duties hereunder is or becomes impermissible under Applicable Law and (ii) there is no reasonable action that the Collateral Manager could take to make the performance of its duties hereunder permissible under Applicable Law. In connection with any such determination permitting the resignation of the Collateral Manager, the Collateral Manager shall deliver to the Administrative Agent and the Borrower a description of the circumstances giving rise to such determination.

No such resignation shall become effective until a Successor Collateral Manager shall have assumed the responsibilities and obligations of the Collateral Manager in accordance with Section 6.2.
