The Company and the Master Servicer not to Resign Clause Samples

This clause prohibits both the Company and the Master Servicer from voluntarily resigning from their respective roles under the agreement. In practice, this means that neither party can step down or withdraw from their contractual obligations unless specific conditions, such as mutual consent or a defined exception, are met. The core function of this clause is to ensure continuity and stability in the administration and servicing of the agreement, preventing disruptions that could arise from unexpected departures.
The Company and the Master Servicer not to Resign. The Company shall not resign from the obligations and duties (including, without limitation, its obligations and duties as initial Master Servicer) hereby imposed on it except upon determination that its duties hereunder are no longer permissible under applicable law. Any successor Master Servicer shall not resign from the obligations and duties hereby imposed on it except upon determination that its duties hereunder are no longer permissible under applicable law. Any such determination permitting the resignation of the Company or any successor Master Servicer shall be evidenced by an Opinion of Counsel to such effect delivered to the Trustee. No such resignation shall become effective until the Trustee or a successor Master Servicer shall have assumed the Master Servicer's responsibilities and obligations in accordance with Section 7.02 hereof. If the Company is no longer acting as Master Servicer, then the successor Master Servicer shall give prompt written notice to the Company of any information received by such successor Master Servicer which affects or relates to an ongoing obligation or right of the Company under this Agreement.
