The Name Change. Immediately subsequent to the Effective Time, upon the terms and subject to the conditions set forth in this Agreement and in accordance with the applicable provisions of the DGCL, Inovio shall further amend its Certificate of Incorporation to change its name to "VGX Pharmaceuticals, Inc." (the "Name Change").
