The Project Team. The Research Program shall be managed by a project team (the "Project Team"), consisting of an equal number, to be determined by the Parties, of representatives from Ontogeny and from Biogen, and led by a representative of Biogen and a representative of Ontogeny (the "Leaders of the Project Team"). The Project Team shall be responsible for implementing, coordinating, reviewing and exchanging information regarding the research activities of the Parties, as set forth in the Research Workplan, and for all tactical decisions related to the Research Program. In addition, each Party may at its discretion invite nonvoting employees, consultants or scientific advisors to attend the meetings of the Project Team as long as such parties are bound by an obligation of confidentiality to the Party on whose behalf they attend. The Project Team shall meet no less frequently than once each month and shall meet at such other times as deemed appropriate by the Leaders of the Project Team. Each Party may change any one or more of its representatives on the Project Team at any time upon notice to the other Party. The location of the Project Team meetings shall alternate between Ontogeny and Biogen, or as otherwise mutually agreed.
