The Company shall use its best efforts to file within ninety (90) days after the Closing Date (as defined in the Debentures), and use its best efforts to cause to become effective under the Securities Act, a registration statement on Form S-3 or, if Form S-3 is not then available, another appropriate form covering the resale of the Shares (the "Registration Statement").
