Common use of The Share Clause in Contracts

The Share. Escrow Agent shall keep all information and other materials passing between it and the other Parties in relation to the transactions contemplated by this Agreement, which was either designated as confidential or which was by its nature intended to be, confidential (“Confidential Information”), and shall not divulge such information to any other person or use such Confidential Information other than: (i) its select employees, agents and professional advisors, that it reasonably determines need to receive the Confidential Information in connection with the provisions and performance of this Agreement; and (ii) any person to whom it is required by law to disclose such information or at the request of any regulatory or statutory or judicial authority with whom it customarily complies.
