The Subleased Premises. (a) The foregoing recitals are incorporated in and are a part of this Sublease. Sublandlord hereby (i) subleases to Subtenant and Subtenant hereby subleases from Sublandlord, Suite 420, which is more particularly described on Exhibit B (“Suite 420 Sublease Premises”), and, (ii) upon the Suite 450 Sublease Commencement Date, subleases to Subtenant and Subtenant hereby subleases from Sublandlord, Suite 450, which is more particularly described on Exhibit B (the “Suite 450 Sublease Premises” and, together with the Suite 420 Sublease Premises, the “Subleased Premises”). (b) The term of the Sublease with respect to Suite 420 Sublease Premises (the “Suite 420 Term”) shall commence on the receipt of Prime Landlord’s Consent (the “Suite 420 Commencement Date”), and shall expire on January 31, 2017 (the “Expiration Date”), unless the Suite 420 Term shall sooner terminate pursuant to the terms of this Sublease. At Sublandlord’s request, promptly after the Suite 420 Commencement Date is ascertained, Sublandlord and Subtenant shall execute a written declaration (the “Suite 420 Declaration”) setting forth the Suite 420 Commencement Date and the date upon which the term of this Sublease will expire. Any failure of the parties to execute such Suite 420 Declaration shall not affect the validity of the Suite 420 Commencement Date as determined in accordance with this Section. (c) The term of the Sublease with respect to the Suite 450 Sublease Premises (the “Suite 450 Term” and, together with the Suite 420 Term, the “Term”) shall commence on the later of (i) the receipt of Prime Landlord’s Consent, (ii) September 1, 2014 or (iii) upon Sublandlord’s move out of Suite 450 (the “Suite 450 Commencement Date” and, together with the Suite 420 Commencement Date, the “Commencement Date”), and shall expire on the Expiration Date, unless the Suite 450 Term shall sooner terminate pursuant to the terms of this Sublease. If, at any time, Sublandlord believes, for any reason, that it is reasonably likely that its move out of Suite 450 will not have occurred prior to November 1, 2014, Sublandlord shall promptly notify Subtenant in writing of such anticipated delay and shall grant Subtenant one of the following additional rights: (i) Subtenant shall have the right to immediately terminate the sublease of Suite 450 under this Sublease upon written notice to Sublandlord delivered anytime within thirty (30) days of Subtenant’s receipt of such notice from Sublandlord, in which case the Premise...
The Subleased Premises. Pursuant to that certain sublease dated as of August 21, 1996 between KBC of America, Inc., as sublessor, and Prospectus Plus, Inc., as sublessee, which sublease was assigned to Tenant pursuant to that certain assignment dated as of December 17, 1996 between Prospectus Plus, Inc., as assignor, and Tenant, as assignee (collectively, the “Sublease”), Tenant is currently occupying certain additional space on floor 12A of the Building which is adjacent to the Premises (the “Subleased Premises”). For a term commencing on July 30, 2000 or upon such earlier date that the Sublease shall terminate (such earlier date is hereinafter referred to as the “Adjustment Date”), the following additional space in the Building shall be added to and included in the Premises, to wit: a portion of floor 12A of the Building substantially as shown hatched on the floor plan annexed hereto as Exhibit 2 and made a part hereof (the “Subleased Premises”),
The Subleased Premises. The Subleased Premises contains approximately 329 square feet of space (the “Subleased Premises”) located in Suite 108, Room P, in the building known as ▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇ ▇▇▇, ▇▇▇▇▇ ▇▇▇▇, ▇▇ ▇▇▇▇▇ (the “Building”) as more fully shown on the site plan (“Site Plan”) attached hereto as Exhibit A. Sublandlord grants to Subtenant access to and use of the common areas (the “Common Areas”) in the Building and on the land surrounding the Building (the “Land”).
The Subleased Premises. 2.1. The subleased premises cover the following areas, see Annex 1: 108 Ground floor Regular workplace Non-regular workplace Office - hereinafter the ‘Subleased Premises’. 2.2. The gross area includes access rooms, stairways, hallways, toilets, canteen, kitchenette, prototype workshop, changing room etc. as well as any escape routes, corridors, emergency exits etc. irrespective of the limitations attached thereto. 2.3. The parties are aware that the Danish Property Agency, Bygningsstyrelsen (BYGST) is the owner of the property situated at ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇, ▇▇▇▇▇▇▇▇ ▇▇▇, ▇▇▇▇ Roskilde. Sections 25-28 of the Danish Business Tenancy Act as well as the principles of the provisions stated apply to this Sublease such that both CAS and BYGST have access to the Subleased Premises and have the right to make alterations. 2.4. In order to ensure optimum allocation of the premises on DTU’s area, the Sublessee is prepared to move to other similar premises on DTU’s area subject to not less than three months’ notice in writing to expire on the first day of a month. Such removal must be made at no cost to the Sublessee, including removal costs.

  • Subleased Premises Sublandlord does hereby sublease to Subtenant, and Subtenant does hereby sublease and rent from Sublandlord, (i) the Space and (ii) all permanent improvements within the Space constructed by Landlord or by or on behalf of Sublandlord (collectively, the “Subleased Premises”). Subtenant shall have the right to use in common with Sublandlord and others entitled thereto the common areas of the Project pursuant to the Lease. In addition, subject to the terms, covenants and conditions of this Sublease, Subtenant shall have the exclusive right to use during the Sublease Term (defined below), free of charge, the furniture, fixtures and equipment more particularly described on Schedule A annexed hereto and made a part hereof (the “Personal Property”) located in the Space. Subtenant shall have no obligation whatsoever to repair, replace or maintain the Personal Property, unless any damage thereto is caused by the negligence or willful misconduct of Subtenant. Provided that there is no change in the size of the Subleased Premises between the date of this Sublease and the Commencement Date (defined below) (e.g., there has been no change in the size of the Subleased Premises by reason of any damage or destruction to or condemnation of the Subleased Premises), the parties hereby (i) stipulate that the Space shall be deemed to contain approximately 19,997 rentable square feet upon delivery of the Space by Sublandlord to Subtenant (the “Space Measurement”), (ii) agree that neither party shall have any right to dispute the Space Measurement and (iii) waive any claim in connection with the Space Measurement, regardless of whether the Space is found to have contained more or less than 19,997 rentable square feet upon delivery of the Space to Subtenant. Sublandlord represents and warrants for the benefit of Subtenant that the rentable square footage of the Space was not remeasured pursuant to Section 4 of the Second Amendment and that Sublandlord pays Base Rental for the Space under the Lease and Tenant’s Forecast Additional Rental and Tenant’s Additional Rental for the Space under the Lease on the basis of the Space consisting of 19,997 rentable square feet.

  • Leased Premises Lessor hereby leases to Lessee, and Lessee leases and takes from Lessor, the Leased Premises subject to the conditions of this Lease.

  • Demised Premises 2.01. Landlord leases to Tenant and Tenant leases from Landlord certain office space (hereinafter called the "Demised Premises") in a nine-story office building currently being renovated (the "Building") situated on certain land more particularly described by metes and bounds in Exhibit A attached hereto (the "Land") leased by Landlord at ▇▇▇▇ ▇▇▇ ▇▇▇▇▇ ▇▇▇▇ in Raleigh, North Carolina. The Demised Premises consists of the square feet of rentable area in the Building disclosed on Schedule I attached to this Lease and made a part hereof (hereinafter called "Schedule I"), all of said space being shown on Exhibit B attached hereto. All calculations of the rentable area of the Demised Premises and the Building shall be made in accordance with the BOMA Standard of Measuring Floor Area of Office Buildings (reprinted in August, 1990). Rentable square feet for any tenant space which constitutes all of the available office space on any floor in the Building shall be as set forth in Exhibit ▇-▇ attached hereto. Landlord, at its expense, shall provide Tenant with the Base Building items set forth on Exhibit C-l 2.02. The Demised Premises consist of the unfinished interior office space in the Building. Landlord, at its expense, shall provide Tenant with the "Base Building" items set forth on Exhibit C-l. Landlord, at Tenant's cost, shall also install the items and perform the work (collectively "upfitting") specified in the plans and upfitting requirements set forth in Exhibit C; however, Landlord shall provide Tenant with an upfitting allowance to subsidize Tenant's upfitting cost as specified in Schedule I. All work shall be performed in accordance with the provisions of Article XVI 2.03. Prior to occupancy of the Demised Premises by the Tenant, Landlord and Tenant shall enter into a supplement of this Lease in the forth attached hereto as Exhibit D setting forth the exact measurements of the Demised Premises calculated as provided hereinabove, the Commencement Date and Expiration Date of the term of this Lease as provided in Article IV and the exact amount of the Annual Minimum Rent (hereinafter defined) and monthly installments of minimum rent required in accordance with Article V herein, with such terms, conditions and provisions being consistent with the terms set forth in this Lease as of the date hereof. 2.04. Exhibits A, B, ▇-▇, C, ▇-▇ and D and Schedule I mentioned above and Exhibit E mentioned hereafter are attached hereto and incorporated herein by this reference.

  • Condition of Subleased Premises (a) Subtenant shall maintain and repair the Subleased Premises in a manner consistent with Sublandlord’s obligations under the Lease. Sublandlord shall have the right to enter the Subleased Premises from time to time upon reasonable prior notice to Subtenant, during normal business hours and escorted by Subtenant (if Subtenant makes such escort reasonably available). Sublandlord’s right of entry shall include the right of inspection to confirm that Subtenant is in compliance with all applicable maintenance and repair obligations set forth in the Lease. In the event that Sublandlord determines, in Sublandlord’s reasonable opinion, that Subtenant is in default of any maintenance and/or repair obligation set forth in the Lease, and such default may incur liability to Sublandlord upon the surrender of the Subleased Premises upon the expiration or earlier termination of the Lease (a “Required Repair Item”), then Sublandlord shall have the right to notify Subtenant of any such Required Repair Items. Subtenant shall be obligated to cure such Required Repair Items within thirty (30) days of such notice from Sublandlord, or, if such Required Repair Items cannot be reasonably completed in such thirty (30) day period, such longer period as reasonably necessary to cure such Required Repair Items, so long as Subtenant has commenced such cure and diligently pursues such cure to completion. In no event shall Sublandlord’s rights hereunder impose any additional and/or greater repair or maintenance standards from those set forth in the Lease. In the event Subtenant fails to cure such Required Repair Items as set forth above, then such failure shall be deemed a default under this Sublease, entitling Sublandlord to exercise any of its rights and remedies herein, including, without limitation, the self help rights set forth in Section 6(b) above. (b) Upon the expiration or earlier termination of this Sublease, Subtenant shall (i) return the Subleased Premises to Sublandlord in the condition required by the Lease, normal wear and tear and damage by casualty or condemnation excepted, and (ii) in accordance with the terms of the Lease, remove all personal property and equipment (other than fixtures but including trade fixtures) from the Subleased Premises required to be removed from the Subleased Premises in accordance with the Lease. Upon such expiration, Sublandlord and Subtenant shall schedule a walk-through of the Subleased Premises to determine whether Subtenant has complied with its obligation to surrender as set forth above. Sublandlord shall notify Subtenant of any perceived noncompliance at the time of the walk-through, or Sublandlord shall be estopped from attempting to charge Subtenant for the same at a later date. Sublandlord may forthwith re-enter the Subleased Premises following notice to Subtenant and repossess itself thereof and remove all persons and effects therefrom, using such force as may be reasonably necessary without being guilty of forcible entry, detainer, trespass or other tort. Subtenant’s obligation to observe or perform these covenants shall survive the expiration or other termination of the Sublease Term.

  • The Premises 2.1.1 Subject to the terms hereof, Landlord hereby leases the Premises to Tenant and Tenant hereby leases the Premises from Landlord. Landlord and Tenant acknowledge that the rentable square footage of the Premises is as set forth in Section 1.2.2 and the rentable square footage of the Building is as set forth in Section 1.6; provided, however, that Landlord may from time to time re-measure the Premises and/or the Building in accordance with any generally accepted measurement standards selected by Landlord and adjust Tenant’s Share based on such re-measurement; provided further, however, that any such re-measurement shall not affect the amount of Base Rent payable for, the determination of Tenant’s Share with respect to, or the amount of any tenant allowance applicable to, the initial Term. At any time Landlord may deliver to Tenant a notice substantially in the form of Exhibit C, as a confirmation of the information set forth therein. Tenant shall execute and return (or, by notice to Landlord, reasonably object to) such notice within five (5) days after receiving it, and if Tenant fails to do so, Tenant shall be deemed to have executed and returned it without exception. 2.1.2 Except as expressly provided herein, the Premises are accepted by Tenant in their configuration and condition existing on the date hereof, without any obligation of Landlord to perform or pay for any alterations to the Premises, and without any representation or warranty regarding the configuration or condition of the Premises, the Building or the Project or their suitability for Tenant’s business. Landlord shall deliver the Premises to Tenant with the floors cleared of trash and swept and free from occupancy by any other party. The foregoing provisions of this Section 2.1.2 shall not limit Landlord’s obligations under Section 7 or Tenant’s rights under Section 6.3.
