Common use of The Subsidy Clause in Contracts

The Subsidy. 2.1 In consideration of the Recipient’s undertaking to conduct the Trial in accordance with the terms and conditions of this Agreement, the Government shall provide the Subsidy to the Recipient during the trial period of the Trial as stipulated in Schedule 1 to this Agreement in accordance with the terms and conditions of this Agreement. 2.2 The approved subsidy for each unit of Subsidized Product is set out in Schedule 2 to this Agreement (“the Approved Subsidy for each unit of a Subsidized Product”). 2.3 The actual subsidy for each unit of Subsidized Product (“the Actual Subsidy for each unit of a Subsidized Product”) refers to an amount which is calculated in accordance with the method to calculate the Subsidy for each unit of a Subsidized Product as set out in the 5th column of Schedule 2 to this Agreement. 2.4 The approved subsidy for the Recipient is set out in Schedule 2 to this Agreement (“the Approved Subsidy for the Recipient”) and is equal to the sum of the Approved Subsidy for each unit of each Subsidized Product times the total number of unit of such Subsidized Product. 2.5 The Government shall reimburse the amount paid by the Recipient for settlement of the cost of purchase and installation of a unit of a Subsidized Product which is purchased with the provision of the Subsidy in accordance with this Agreement upon receipt and verification of documents which are submitted by the Recipient to prove that the Recipient has settled the payment of the cost of purchase and installation of that unit of the Subsidized Product PROVIDED ALWAYS THAT (A) the total amount of reimbursement paid by the Government (including that of interim payments) for that unit of the Subsidized Product shall not exceed the Approved Subsidy for each unit of the Subsidized Product and shall not exceed the Actual Subsidy for each unit of the Subsidized Product; (B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Products which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit of Subsidized Product) shall not exceed the Approved Subsidy for the Recipient; (C) that unit of the Subsidized Product has been delivered to the Recipient and is Ready for Use; and (D) purchase and installation of a support system (such as a charging station) which has been described in the description of the Subsidized Product in Schedule 2 to this Agreement has been completed and the support system can come into operation. 2.6 For the avoidance of doubt, the Government will not subsidize the Recipient for any amount in excess of the Approved Subsidy for the Recipient. 2.7 Without prejudice to Clause 2.5 of this Agreement, in the event that the cost of purchase and installation of a support system (such as a charging station) the description of which has been described in the description of the Subsidized Product in Schedule 2 to this Agreement and the Recipient is required to pay by interim payments for the cost of purchase and installation of such support system which is purchased with the provision of the Subsidy in accordance with this Agreement, the Government shall reimburse the Recipient an amount which is equal to the amount that has been paid by the Recipient for settlement of an interim payment multiplied by the Subsidized percentage upon receipt and verification of documents which are submitted by the Recipient to prove that the Recipient has settled the interim payment PROVIDED ALWAYS THAT (A) the total amount of reimbursement paid by the Government (including that of interim payments) for that unit of the Subsidized Product shall not exceed the Approved Subsidy for each unit of the Subsidized Product and shall not exceed the Actual Subsidy for each unit of the Subsidized Product; and (B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Products which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit of Subsidized Product) shall not exceed the Approved Subsidy for the Recipient. 2.8 For the avoidance of doubt, without prejudice to Clause 2.5 and Clause 2.7 of this Agreement, if a support system is not described in the description of the Subsidized Product in Schedule 2 to this Agreement, the Government will not reimburse the amount paid by the Recipient for settlement of interim payments for the purchase of a unit of the Subsidized Product (including the cost of purchase and installation of the aforesaid support system). 2.9 The Recipient shall submit to the Government its request for Subsidy (including reimbursement for interim payments (if any)) together with copies of agreement, invoices and receipts to prove its payment of the cost of purchase and installation of that unit of a Subsidized Product (including any interim payment(s) made). The Recipient shall submit all documents which are requested by the Government for verification of the settlement made by the Recipient. All copies of agreement, invoices, receipts and other documents as required under this Clause 2.9 must be certified by the Recipient.

(B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Products which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit all units of Subsidized Product) shall not exceed the Approved Subsidy for the Recipient; (CB) that unit all units of the Subsidized Product has have been delivered to the Recipient and is are Ready for Use; and (DC) purchase and installation of a support system (such as a charging station) which has been described in the description of the Subsidized Product in Schedule 2 to this Agreement has been completed and the support system can come into operation. 2.6 For the avoidance of doubt, the Government will not subsidize the Recipient for any amount in excess of the Approved Subsidy for the Recipient. 2.7 Without prejudice to Clause 2.5 of this Agreement, in the event that the cost of purchase and installation of a support system (such as a charging station) the description of which has been described in the description of the Subsidized Product in Schedule 2 to this Agreement and the Recipient is required to pay by interim payments for the cost of purchase and installation of such support system which is purchased with the provision of the Subsidy in accordance with this Agreement, the Government shall reimburse the Recipient an amount which is equal to the amount that has been paid by the Recipient for settlement of an interim payment multiplied by the Subsidized percentage upon receipt and verification of documents which are submitted by the Recipient to prove that the Recipient has settled the interim payment PROVIDED ALWAYS THAT (A) the total amount of reimbursement paid by the Government (including that of interim payments) for that unit of the Subsidized Product shall not exceed the Approved Subsidy for each unit of the Subsidized Product and shall not exceed the Actual Subsidy for each unit of the Subsidized Product; and (B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Products which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit of Subsidized Product) shall not exceed the Approved Subsidy for the Recipient. 2.8 For the avoidance of doubt, without prejudice to Clause 2.5 and Clause 2.7 of this Agreement, if a support system is not described in the description of the Subsidized Product in Schedule 2 to this Agreement, the Government will not reimburse the amount paid by the Recipient for settlement of interim payments for the purchase of a unit of the Subsidized Product (including the cost of purchase and installation of the aforesaid support system). 2.9 The Recipient shall submit to the Government its request for Subsidy (including reimbursement for interim payments (if any)) together with copies of agreement, invoices and receipts to prove its payment of the cost of purchase and installation of that unit of a Subsidized Product (including any interim payment(s) made). The Recipient shall submit all documents which are requested by the Government for verification of the settlement made by the Recipient. (B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Subsidised Products which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit all units of Subsidized Subsidised Product) shall not exceed the Approved Subsidy for the Recipient; and (B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Products which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit of Subsidized Product) shall not exceed the Approved Subsidy for the Recipient. 2.8 For the avoidance of doubt, without prejudice to Clause 2.5 and Clause 2.7 of this Agreement, if a support system is not described in the description of the Subsidized Product in Schedule 2 to this Agreement, the Government will not reimburse the amount paid by the Recipient for settlement of interim payments for the purchase of a unit of the Subsidized Product (including the cost of purchase and installation of the aforesaid support system). 2.9 The Recipient shall submit to the Government its request for Subsidy (including reimbursement for interim payments (if any)) together with copies of agreement, invoices and receipts to prove its payment of the cost of purchase and installation of that unit of a Subsidized Product (including any interim payment(s) made). The Subsidy. 2.1 In consideration of the Recipient’s undertaking to conduct the Trial in accordance with the terms and conditions of this Agreement, the Government shall provide the Subsidy to the Recipient during the trial period of the Trial as stipulated in Schedule 1 to this Agreement in accordance with the terms and conditions of this Agreement. 2.2 The approved subsidy for the total number of each unit type of Subsidized Product the Subsidised Product(s) is set out in the 4th column of Schedule 2 to this Agreement (“the Approved Subsidy for each unit the Total Number of a Subsidized Productthe Subsidised Product(s)”). 2.3 The actual subsidy for each unit of Subsidized Product the Subsidised Product(s) (“the Actual Subsidy for each unit Each Unit of a Subsidized Productthe Subsidised Product(s)”) refers to an amount which is calculated in accordance with the method to calculate the Subsidy for each unit of a Subsidized Subsidised Product as set out in the 5th column of Schedule 2 to this Agreement. 2.4 The approved subsidy for the Recipient is set out in Schedule 2 to this Agreement (“the Approved Subsidy for the Recipient”) and is equal to the sum of the Approved Subsidy for each unit the Total Number of each Subsidized Product times the total number Subsidised Product(s) as set out in the 4th column of unit of such Subsidized ProductSchedule 2 to this Agreement. 2.5 The Government shall reimburse the Recipient 75% of the amount paid by the Recipient for settlement of the cost of purchase purchase, and installation (if applicable), of a unit all units of a Subsidized Product the Subsidised Product(s) which is are purchased with the provision of the Subsidy in accordance with this Agreement upon receipt and verification of documents which are submitted by the Recipient to prove that the Recipient has settled the payment of the cost of purchase purchase, and installation (if applicable), of that unit all the units of the Subsidized Product Subsidised Product(s) PROVIDED ALWAYS THAT (A) the total amount of reimbursement paid by the Government (including that of interim payments) for that unit of the Subsidized Product shall not exceed the Approved Subsidy for each unit of the Subsidized Product and shall not exceed the Actual Subsidy for each unit of the Subsidized Product; (B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Products the Subsidised Product(s) which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit all units of Subsidized Productthe Subsidised Product(s)) shall not exceed the Approved Subsidy for the Recipient; (CB) that unit all units of the Subsidized Product has Subsidised Product(s) have been delivered to the Recipient and is are Ready for Use; (C) purchase and installation (if applicable) of support systems (such as a Charging Station) and/or Retrofitting Device(s) has/have been completed (for the avoidance of doubt, the Recipient shall be fully responsible for the installation of all support systems (such as a Charging Station) at the Recipient’s own costs and expenses); and (D) purchase the Recipient has conducted the Trial for three months and installation subject to Clause 11 with timely submission of a support system (such the operation data of the Subsidised Product(s) to the third party assessor. The Government shall reimburse the Recipient the remaining 25% of the Subsidy for the Recipient after the Subsidised Product(s) has/have achieved the estimated mileage as a charging station) which has been described specified by the Recipient in the description of Application Form and/or has/have satisfied other approval requirements (if applicable) as imposed by the Subsidized Product Government on the Recipient as specified in Schedule 2 to this Agreement has been completed and the support system can come into operationon a case-by-case basis. 2.6 For the avoidance of doubt, the Government will not subsidize the Recipient for any amount in excess of the Approved Subsidy for the Recipient. 2.7 Without prejudice to Clause 2.5 and subject to Clause 2.8 of this Agreement, in the event that the cost of purchase and installation of a support system (such as a charging stationCharging Station) the description of or a Retroffiting Device which has been described in the description of the Subsidized Product Subsidised Product(s) in Schedule 2 to this Agreement and the Recipient is required to pay by interim payments for the cost of purchase and installation of such support system or Retroffiting Device which is purchased with the provision of the Subsidy in accordance with this Agreement, the Government shall reimburse the Recipient an amount which is equal to the amount that has been paid by the Recipient for settlement of an interim payment multiplied by the Subsidized Subsidised percentage upon receipt and verification of documents which are submitted by the Recipient to prove that the Recipient has settled the interim payment PROVIDED ALWAYS THAT (A) the total amount of reimbursement paid by the Government (including that of interim payments) for that unit of the Subsidized Product shall not exceed the Approved Subsidy for each unit of the Subsidized Product and shall not exceed the Actual Subsidy for each unit of the Subsidized Product; and (B) the total amount of reimbursement paid by the Government (including that of interim payments) to the Recipient for all units of Subsidized Products Subsidised Product(s) which are purchased with the provision of the Subsidy in accordance with this Agreement (including that unit of Subsidized Subsidised Product) shall not exceed the Approved Subsidy for the Recipient. 2.7 For the avoidance of doubt, the Government will not subsidise the Recipient for any amount in excess of the Approved Subsidy for the Recipient. 2.8 For the avoidance of doubt, without prejudice to Clause 2.5 and Clause 2.7 2.6 of this Agreement, if a support system (such as a Charging Station) or a Retroffiting Device is not described in the description of the Subsidized Product Subsidised Product(s) in Schedule 2 to this Agreement, the Government will not reimburse the amount paid by the Recipient for settlement of interim payments for the purchase of a unit of the Subsidized Product (including the cost of purchase and installation (if applicable) of the aforesaid such support system)system (such as a Charging Station) or Retrofitting Device. 2.9 The Recipient shall submit to the Government its request for reimbursement of Subsidy (including reimbursement for interim payments (if any)) of the costs of purchase and installation (if applicable) of a Subsidised Product which is purchased with the provision of the Subsidy in accordance with this Agreement together with copies of agreement, invoices and receipts to prove its payment of the cost of purchase purchase, and installation (if applicable), of that unit of a Subsidized Subsidised Product (including any interim payment(s) made). The Recipient shall submit all documents which are requested by the Government for verification of the settlement made by the Recipient. All copies of agreement, invoices, receipts and other documents as required under this Clause 2.9 must be certified by the Recipient.
