Common use of The Works Schedule Clause in Contracts

The Works Schedule. (a) Within 45 days after the date of Financial Close, Project Co shall prepare and submit to CAMH and the Independent Certifier a detailed, computerized draft schedule using Primavera 5.0 or other software compatible with Primavera 5.0 that supports the completion of the Works in accordance with Section 20.1. (b) CAMH shall provide Project Co with comments on the draft schedule in accordance with Schedule 10 - Review Procedure, provided that the period for review of such draft schedule shall be 20 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure. Project Co shall revise the draft schedule to the extent required by Schedule 10 - Review Procedure within 30 days of receipt of any comments from CAMH. (c) When agreed by the Parties, the draft schedule shall become the Works Schedule. (d) The Works Schedule shall be prepared in accordance with Good Industry Practice for a large complex project and shall be in sufficient detail so as to enable the CAMH Representative and, if applicable, the Independent Certifier, to monitor the progress of the Works, including all commissioning activities, and the likely future progress of the Works. Given the size and complexity of the Project, the Works Schedule shall include no fewer than 1,000 activities. (e) Without limiting the generality of Section 20.2(d), the Works Schedule shall, at a minimum, include: (i) major milestone events; (ii) the dates that key decisions must be made by CAMH to support the progress of the Works; (iii) a detailed and editable procurement, delivery, installation, training and commissioning schedule for all Equipment; (iv) all design related activities, including the proposed date for each Design Workshops; (v) the proposed date for each Works Submittal; (vi) all construction activities, including subcontract work and cash allowance work, both on and off the Site; (vii) all procurement activities undertaken by the Construction Contractor with respect to materials and equipment, including timelines for Shop Drawings, manufacturing periods and dates of delivery to the Site; (viii) all Project Co Commissioning and Hospital Commissioning activities; (ix) a detailed plan for the Transition; (x) the manpower requirements for each activity, including subcontract work; (xi) a manpower histogram, both overall and by trade; (xii) a cumulative “S”-curve showing planned percent completion for each month from the commencement of the Works until the Scheduled Final Completion Date; and (xiii) projected Construction Contract cash flows.

(c) When agreed by the Parties, the draft schedule shall become the Works Schedule. (d) The Works Schedule shall be prepared in accordance with Good Industry Practice for a large complex project and shall be in sufficient detail so as to enable the CAMH WGH Representative and the Architect of Record and, if applicable, the Independent Certifier, to monitor the progress of the Works, including all commissioning activities, and the likely future progress of the Works. Given the size and complexity of the Project, the Works Schedule shall include no fewer than 1,000 activities. (e) Without limiting the generality of Section 20.2(d21.2(d), the Works Schedule shall, at a minimum, include: (i) major milestone events; (ii) the dates that key decisions must be made by CAMH WGH to support the progress of the Works; (iii) a detailed and editable procurement, delivery, installation, training and commissioning schedule for all Equipment, including Equipment to be procured or transferred by WGH and Equipment related to the IT system and wireless backbone and including Equipment to be procured and transferred by WGH in accordance with the Equipment Procurement and Installation Sub-Plan, provided that the Works Schedule shall provide that all Equipment marked as "O/O" (Owner Supplied/Owner Installed) on Schedule 21 – Equipment List, may be moved and installed at the Facility either before or after Substantial Completion on dates agreed by WGH, in its sole discretion and provided that all O/V Equipment and O/C Equipment shall be decommissioned, transferred, installed and commissioned (as applicable) in accordance with the timelines determined in accordance with Section 22; (iv) all design related activities, including the proposed date for each Design Workshops; (v) the proposed date for each Works Submittal; (vi) all construction activities, including subcontract work and cash allowance work, both on and off the Site; (viivi) all procurement activities undertaken by the Construction Contractor with respect to materials and equipment, including timelines for Shop Drawingsshop drawings, manufacturing periods and dates of delivery to the Site; (viiivii) all Project Co Commissioning and Hospital Commissioning activities; (ixviii) a detailed plan for the Transition; (xix) the manpower requirements for each activity, including subcontract work; (xix) a manpower histogram, both overall and by trade; (xiixi) a cumulative “S”-curve "S"-curve showing planned percent completion for each month from the commencement of the Works until the Scheduled Final Completion Date; (xii) projected Construction Contract cash flows; and (xiii) projected Construction Contract cash flowsthe dates for each Works Submittal.

The Works Schedule. (b) CAMH The Ministry shall provide Project Co with comments on the 6-Month Works Schedule and the draft schedule of the Works Schedule in accordance with Schedule 10 9 - Review Procedure, provided that the period for review of such the draft schedule of the 6-Month Works Schedule and the Works Schedule shall be 20 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 9 - Review Procedure. Project Co shall revise the 6-Month Works Schedule and the draft schedule of the Works Schedule to the extent required by Schedule 10 9 - Review Procedure within 30 15 days of receipt of any comments from CAMHthe Ministry. (c) When agreed by the Parties, the draft schedule of the Works Schedule shall become the Works Schedule. (d) The 6-Month Works Schedule and the Works Schedule shall be prepared in accordance with Good Industry Practice for a large complex project of similar scale, scope, type and complexity and shall be in sufficient detail so as to enable the CAMH Ministry Representative and, if applicable, the Independent Certifier, to monitor the progress of the Works, including all commissioning activities, and the likely future progress of the Works. Given the size and complexity of the Project, the Works Schedule shall include no fewer than 1,000 activities. (e) Without limiting the generality of Section 20.2(d22.2(d), the 6-Month Works Schedule shallshall include, at a minimum, includein respect of the 6-month period beginning at Financial Close: (i) all elements to be included in the Works Schedule pursuant to Part 1 of Schedule 3 to the Request for Proposals; (ii) major milestone events; (iiiii) the dates that key decisions must be made by CAMH the Ministry, or key meetings where the Ministry is to be present, to support the progress of the Works; (iiiiv) a detailed and editable procurement, delivery, installation, training and commissioning schedule the proposed dates for all Equipment; (iv) plans, all design related activities, including Works Submittals and all OM&R Submittals required to be submitted under this Project Agreement and any Schedule by Project Co pursuant to the proposed date for each Design WorkshopsReview Procedure; (v) all activities related to the proposed environmental process and Environmental Approvals, including review periods by Governmental Authorities and third parties pursuant to Project Co Permits, Licences and Approvals showing in sufficient detail how these dates affect the critical path of the Schedule, as well as how these dates affect the commencement date for each Works Submittalof vegetation clearing and grubbing; (vi) all design related activities; (vii) all field and construction activities, including construction staging, subcontract work and cash allowance work, both on and off the Site; (viiviii) all procurement activities undertaken by the Construction Contractor with respect leading up to materials vegetation clearing and equipment, including timelines for Shop Drawings, manufacturing periods and dates of delivery to the Sitegrubbing; (viiiix) projected Construction Contract cash flows; and (x) a narrative that describes, in sufficient detail, the rationale behind the items identified in this Section 22.2(e). (f) Without limiting the generality of Section 22.2(d), the Works Schedule shall include, at a minimum, in respect of the period from 6 months following Financial Close until the Substantial Completion Date: (i) subject to Section 22.2(f)(ii), all elements to be included in the 6-Month Works Schedule pursuant to Section 22.2(e); (ii) the proposed date for each Works Submittal, except for the proposed dates for plans under Subsection (iv) of Section 22.2(e); (iii) the process and schedule for Road Safety Audits; (iv) all Project Co Commissioning and Hospital Commissioning activities; (ix) a detailed plan for the Transition; (xv) the manpower requirements for each activity, including subcontract work; (xivi) a manpower histogram, with descriptions of overall manpower as well as by trade and manpower sourced locally (including both overall direct engagement and by trade;subcontract work); and (xiivii) a cumulative “S”-curve showing planned percent completion for each month from the commencement of the Works until the Scheduled Final Completion Date; and (xiii) projected Construction Contract cash flows.
