Third-Party Acts. Issues caused by the acts or omissions of third-parties, including providers of internet services, or for issues arising from third-party software or hardware that is not provided by CentralSquare is explicitly disclaimed;
Third-Party Acts. Company shall not be obligated hereunder or to the service levels set forth above to the extent Company is unable to meet the applicable service levels as a result of actions or failures to act by Licensee and/or Permitted Users, a third party (other than Company's employees and subcontractors), or by reason beyond Company's control. Company shall have no obligation to honor the terms of the service level agreement where the failure to meet the applicable service levels is the result of outages caused by or faulty applications developed by the Licensee.
Third-Party Acts. You expressly agree that neither COX nor any of the COX Related Parties is responsible or liable for any content, act or omission of any third party including, without limitation any threatening, defamatory, obscene, offensive, or illegal conduct, or any infringement of another’s rights including, without limitation, privacy and intellectual property rights, and You hereby release COX and each of the COX Related Parties for any such claims based on the activities of third parties.
Third-Party Acts. Neither CTI nor the BBC shall be held responsible for the consequences of any act or omission or misconduct of any third party, unless: 16.3.1 such third parties are in the employment of or providing sub- contracted services to either CTI or the BBC at the time the lncident takes place; or 16.3.2 the party claimed against has recovered damages in respect of such act, omission or misconduct directly from the relevant third party or otherwise where it has recovered insurance (and in each such case to the extent of such recovery or insurance claim) provided that where such party is entitled to claim damages and/or recover under such insurance policy it shall use all reasonable endeavours to do so as soon as reasonably practicable.

  • THIRD PARTY ACTION NOTIFICATION Vendor shall give Customer prompt notice in writing of any action or suit filed, and prompt notice of any claim made against Vendor by any entity that may result in litigation related in any way to this Agreement.

  • Third Party Applications Oracle or third party providers may offer Third Party Applications. Except as expressly set forth in the Estimate/Order Form, Oracle does not warrant any such Third Party Applications, regardless of whether or not such Third Party Applications are provided by a third party that is a member of an Oracle partner program or otherwise designated by Oracle as “Built For NetSuite,” "certified," "approved" or “recommended.” Any procurement by Customer of such Third Party Applications or services is solely between Customer and the applicable third party provider. Customer may not use Third Party Applications to enter and/or submit transactions to be processed and/or stored in the Cloud Service, unless Customer has procured the applicable subscription to the Cloud Service for such use and access.

  • Third Party Data Any statistical, industry-related and market-related data, which are included in the Disclosure Package and the Prospectus, is based on or derived from sources that the Company reasonably and in good faith believes to be reliable and accurate, and such data agrees with the sources from which it is derived, and the Company has obtained the written consent for the use of such data from such sources to the extent required.

  • Third Party Access Client is prohibited from disclosing data from the Data Set to any third party without obtaining written permission from Oracle.
