Common use of Third Party Authorizations Clause in Contracts

Third Party Authorizations. No consents, waivers or approvals from other parties to Material Contracts to which the Corporation or any of its subsidiaries is a party or by which it or they are bound, is required by the Corporation or any of its subsidiaries in connection with the execution and delivery of this Agreement by the Corporation or the consummation of the transactions contemplated hereby, the failure of which to obtain would reasonably be expected to result in a material breach of any such Material Contract or constitute a Material Adverse Effect.
