Third Party Data Share Requests from Client. In the event that Client authorizes and/or directs AXS to release and disclose Purchaser Data to a third party (the “Shared Data”), Client agrees to indemnify and hold harmless AXS, its affiliates, owners, officers, directors, agents and employees and contractors from and against any and all claims, actions, damages, liabilities and expenses (including reasonable attorneys’ fees) incurred, arising from or out of AXS’s release and disclosure of the Shared Data to such third party, and/or Client’s or the third party’s use of the Shared Data.
