Common use of Third Party Infringement Clause in Contracts

Third Party Infringement. To the knowledge of the Company, no person has infringed or misappropriated, or is infringing or misappropriating, any Company-Owned Intellectual Property in a manner that would be expected to adversely affect the Conduct of the Business of the Company or the sale, offer for sale, importation or other commercial exploitation of any Company Product.

Third Party Infringement. To the knowledge Knowledge of the Company, no person Person has infringed or misappropriated, or is infringing or misappropriating, any Company-Owned Company Intellectual Property in a manner that would Rights owned or purported to be expected to adversely affect owned by the Conduct Company. To the knowledge Knowledge of the Company, no person has materially infringed or misappropriated, or is materially infringing or misappropriating, any Company-Owned Intellectual Property in a manner that would be expected to adversely affect the Conduct of the Business of the Company or the sale, offer for sale, importation or other commercial exploitation of any Company ProductProperty.

To the knowledge Knowledge of the Company, no person Person has infringed or misappropriated, or is infringing or misappropriating, any Company-Owned Company Intellectual Property in a manner that would Rights owned or purported to be expected to adversely affect owned by the Conduct of the Business of the Company or the sale, offer for sale, importation or other commercial exploitation of any Company ProductCompany.

To the knowledge of the Company’s knowledge, no person Person has infringed infringed, violated or misappropriated, or is infringing infringing, violating or misappropriating, any Company-Company Owned Intellectual Property in a manner that would be expected is material to adversely affect the Conduct business of the Business of the Company or the sale, offer for sale, importation or other commercial exploitation of any Company ProductCompany.

Third Party Infringement. To the knowledge of the Company, no person has infringed or misappropriated, or is infringing or misappropriating, any Company-Owned Intellectual Property, and no person has infringed or misappropriated, or is infringing or misappropriating, any Company Business Intellectual Property in a manner that would be expected to adversely affect the Conduct of the Business of the result in a Company or the sale, offer for sale, importation or other commercial exploitation of any Company ProductMaterial Adverse Effect.

Third Party Infringement. To the knowledge Knowledge of the Company, no person has infringed or misappropriated, or is infringing or misappropriating, any Company-Owned Intellectual Property, and no person has infringed or misappropriated, or is infringing or misappropriating, any Company Business Intellectual Property in a manner that would be expected to adversely affect Company in the Conduct of the Business of the Company or the sale, offer for sale, importation or other commercial exploitation of any Company ProductUnited States.

Third Party Infringement. To the knowledge Knowledge of the Company, (i) no person has infringed or misappropriated, or is infringing or misappropriating, any Company-Owned Company Intellectual Property, and (ii) no person has infringed or misappropriated, or is infringing or misappropriating, any Company Intellectual Property in a manner that would be expected to adversely affect the Conduct of the Business of the Company. The Company or the salehas not brought any claims, offer for salesuits, importation arbitrations or other commercial exploitation of adversarial proceedings before any court, Governmental Entity or arbitral tribunal against any third party with respect to any Company ProductIntellectual Property.
