Third Party Permissions Clause Samples
The Third Party Permissions clause defines the conditions under which parties to an agreement may grant access or rights to third parties regarding the subject matter of the contract. Typically, this clause outlines whether and how a party can authorize external individuals or organizations to use, access, or benefit from certain resources, services, or information covered by the agreement. For example, it may specify if a licensee can allow subcontractors to use licensed software or if confidential information can be shared with consultants. Its core function is to clarify and control the extent of third-party involvement, thereby preventing unauthorized use and ensuring all parties understand the boundaries of permissible third-party access.
Third Party Permissions. You must be the beneficial owner of your PayPal account, and conduct business only on behalf of yourself. You may expressly grant, remove and manage permissions for some third parties to take certain actions on your behalf. In some cases, you can do this when logged into your PayPal account – in other cases, you can do this directly with the third party. You acknowledge that if you grant permission for a third party to take actions on your behalf, we may disclose certain information about your PayPal account to this third party. You may permit third party service providers licensed by applicable law to: • provide account information services to access information about your account on your behalf; • confirm whether an amount necessary for the execution of a card-based payment transaction is available on your account; or • provide payment initiation services to initiate payments from your account on your behalf. Granting permission to any third party to access your PayPal account in any way does not relieve you of any of your responsibilities under this user agreement. You are liable to us for the actions that you authorize the third parties to carry out. You will not hold us responsible for, and you will indemnify us from, any liability arising from the actions or inactions of such third parties in connection with the permissions you granted, subject to your mandatory legal rights.

You acknowledge that if you grant permission for a third party to take actions on your behalf, PayPal may disclose certain information about your PayPal Account to this third party. Granting permission to a third party does not relieve you of any of your responsibilities under this Agreement. Closing Your PayPal Account You may close your account and terminate your relationship with us at any time without cost or penalty, but you will remain liable for all obligations related to your PayPal account even after the PayPal account is closed. When you close your PayPal account, we will cancel any scheduled or incomplete transactions. You must withdraw or transfer any PayPal balance from your PayPal account before closing it. You cannot withdraw or transfer digital gift certificates/cards that are purchased through PayPal Digital Gifts and linked to your PayPal account as payment methods. However, even without your PayPal account, you can still use the codes you received by email when you purchased the gift certificates/cards to make purchases. In certain cases, you may not close your PayPal account, including: • To evade an investigation. • If you have a pending transaction or an open dispute or claim. • If your PayPal account has a negative balance. • If your PayPal account is subject to a hold, limitation or reserve.
Third Party Permissions. If you grant express permission to a third party to take specific actions on your behalf, or access particular information about your Account, you acknowledge that: • Signature Pay may disclose the information about your Account specifically authorized by you to the third party; • Granting permission to a third party to take specific actions on your behalf does not relieve you of any of your responsibilities under this Agreement; and • You will not hold Signature Pay responsible for, and will indemnify Signature Pay from, any liability arising from the actions or inactions of the third party in connection with the permissions you grant. You may change or remove these permissions at any time by changing your settings in your Account Profile.
Third Party Permissions. Anew subsection has been added to Section 2 (Accounts) that relates to permissions you grant to third parties. It describes how to set third partypermissions for your Account, and explains that if you grant a third partypermission to take actions on your behalf you allow PayPal to disclose certain information about your account to this third party.
