Third-Party Processors. Customer acknowledges and agrees that when acting as a Controller, ▇▇▇▇▇▇ may engage third-party processors in connection with the provision of the Services. ▇▇▇▇▇▇ acknowledges and agrees that Customer, as a Controller, may engage third-party processors in connection with the receipt of the Services. Both Parties must have a written agreement with each processor, and any agreement with any such processor must include substantially similar data protection obligations as set out in this DPA. Each party is liable for the acts and omissions of its respective processors to the same extent such Party would be liable under the terms of this DPA, except as otherwise set forth in the Agreement. For the avoidance of doubt, where ▇▇▇▇▇▇ acts as a Controller–for example, when processing EOR Team Member data–such third-party data processors are not sub-processors.
