Common use of Time and Materials Change Orders Clause in Contracts

Time and Materials Change Orders. ‌ Authority may unilaterally, and in its sole discretion, issue a Change Order that is based on time and material costs, as described in this Article 16.16 (a “Time and Materials Change Order”) whenever Authority determines such a Change Order is advisable. In the event that payment for Work performed pursuant to an Authority- Directed Change is the basis of a dispute as provided in Article 16.13, such payment may be made pursuant to a Time and Materials Change Order pending formal resolution of the dispute under Article 32. The Time and Materials Change Order shall instruct Contractor to perform the Work, indicating expressly the intention to treat the items as changes in the Work, and setting forth the kind, character, and limits of the Work as far as they can be ascertained, the terms under which changes to the Contract Amount will be determined and the estimated total change in the Contract Amount anticipated thereunder. Upon final determination of the allowable costs, Authority shall issue a modified Change Order setting forth the final adjustment to the Contract Amount. The following costs and ▇▇▇▇-ups (and no others) shall be used for calculating the change in the Contract Amount. No direct compensation will be allowed for other miscellaneous costs for which no specific allowance is provided in this Article 16.16.
