Common use of Time and Place of Completion Clause in Contracts

Time and Place of Completion. Completion shall take place remotely via the exchange of documents and signatures on the fifth (5th) Business Day (or such shorter period agreed by the Parties) after all the conditions precedent set forth in Sections 3.1 and 3.2 (other than those conditions precedent that by their terms cannot be fulfilled until the Completion, but subject to the satisfaction or waiver thereof) are satisfied or waived in writing, or at such other time and place as the Parties may agree or as may be determined pursuant to Section 4.4.

Each Completion shall take place remotely via by the exchange of documents and signatures electronic mail and/or facsimile on or before the fifth (5th) 5th Business Day (or such shorter period agreed by the Parties) after all the conditions precedent set forth in Sections 3.1 and 3.2 (other than those conditions precedent that by their terms nature cannot be fulfilled until the Completion, Completion but subject to the satisfaction or waiver thereoffulfilment at Completion) are satisfied or waived in writing, or at such other time and place or in other manners as the Parties may agree or as may be determined pursuant to Section 4.4agree.
